“The Founder/Executive Director, Holly True, is married to the President, Timothy True. ELA follows a Conflict of Interest policy regarding the two directors. Timothy does not vote on employment or financial decisions related to Holly. On other voting matters, they only have a full vote when 5 directors are present. When a total of 4 directors are present, a quorum is allowed only with Timothy and Holly each exercising half a vote.”

“This amount reflects the $911 paid for services and the $500 pledge, both given by Holly True, the founder. She has paid out of pocket for the start-up expenses with an informal expectation of reimbursement. The organization is not officially indebted to Holly True, nether did she intend the $911 to be a donation. Once reimbursed, she does intend to produce the $500 pledge, which has been documented in board minutes.”
