Organizational document changes Part VI line 4

We revised our Articles of Incorporation to omit Articles 4 and 5, which previously addressed Members and Stock, respectively. Numerous small revisions were made throughout the bylaws, primarily related to wording and terminologyfor example, replacing the term board members with board directors for consistency. The bylaws were also updated to correctly reflect that our fiscal year runs from October 1 through September 30.

The 990 will be submitted to all BOD directors and comments/questions addressed to finance committee chair and/or preparer. Upon completion of these comments/questions, the BOD will vote to submit.

Conflict of interest policy compliance Part VI line 12C

SCMT has a adopted a formal conflict-of-interest policy, the purpose of which is to protect the organizations interest when it is contemplating entering a transaction or arrangement that might benefit the private interest of an officer or director of the Organization or might result in a possible excess benefit transaction. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations.Officers, directors and key employees are required annually to disclose potential conflicts of interest.

Compensation of the Organizations Board will only occur when they have a dual role as an employee or independent contractor. In these events, the members level of expertise and the length of the project will also be considered for setting reasonable compensation in addition to the information gathered from other tax-exempt organizations using similar services. The Executive Director and Artistic Director will also serve as members of the board. Salary compensation is decided in accordance with the Organizations bylaws.The CEO/Executive Director was not compensated during the fiscal year.
