To approve the transfer or sale of any assets of the company outside of the ordinary course of business; 6. To approve the incurrence of indebtedness by the company outside the ordinary course of business or in excess of $500,000; 7. To approve any conflict-of-interest transactions between the company and an officer; and 8. To approve any company action that has a reasonable likelihood of materially affecting the liability, reputation, or viability of foundation for the carolinas.”
