“Authority of executive committee: the executive committee is the governing body of the coalition and will oversee the coalition's activities and operations. Members of the executive committee are considered managers. Qualifications: coalition members become members of the executive committee, and are thus voting members, when they pay annual dues of $5,000 or more.”

“There are two classes of membership in the coalition: a. Non-voting members: members that either pay no dues or pay dues below the amount required to be a voting member, and meet any other criteria set by the executive committee. B. Voting members/executive committee: members that pay annual dues of $5,000 or more and meet any other criteria set by the executive committee.”

“The executive committee is the governing body of the coalition and will oversee the coalition's activities and operations. Members of the executive committee are considered "managers" as defined by section 291102 of the district of columbia's uniform unincorporated nonprofit association act of 2010. Each executive committee member has one (1) vote. A quorum consists of a majority of the total number of executive committee members in office. Unless stated otherwise in these bylaws, all actions will be by majority vote of those present at a meeting at which a quorum is present. Any or all executive committee members may participate in a meeting by communications technology and such participation will constitute presence at the meeting. The officers of the coalition will be a chair, vice-chair, immediate past chair, treasurer, and such other officers as the executive committee may designate. Executive committee members owe to the coalition and its members the fiduciary duties of loyalty and care. Each executive committee member shall manage the coalition in good faith, in a manner the executive committee member reasonably believes to be in the best interests of the coalition and with such care, including reasonable inquiry, as a prudent person would reasonably exercise in a similar position and under similar circumstances.”

“There were no actions taken by the governing body or committees. Notes are taken as a record of the meetings.”

“The form 990 is prepared by an outside accounting firm. The chair, vice chair, and treasurer reviews the form 990 before it is filed with the irs.”

“The organization makes its governing documents and financial statements available to the public upon request.”
