The tax return is provided to the Board members prior to the annual meeting. Any concerns or questions are addressed and rectified, if necessary, prior to filing the return.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and all material facts to the Directors and members of Committees with Board delegated powers considering the proposed transaction or arrangement. The chairperson of the Board or Committee shall, if appropriate, appoint a disinterested person or Committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the Board or Committee shall determine whether the Corporation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the Board or Committee shall determine by a majority vote of the disinterested Directors whether the transaction or arrangement is in the Corporations best interest and for its own benefit and whether the transaction is fair and reasonable to the Corporation and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. The minutes of the Board and all Committee with Board-delegated powers shall contain: the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the Boards or Committees decision as to whether a conflict of interest in fact existed and the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith.

IRS990ScheduleL/SupplementalInformationDetail/ExplanationTxt0Craig DeLucia (the "President") is an Officer of NC TechPaths Inc. (NCTP) and the sole owner of Broward Grove, LLC (BG), a C corporation that renders certain professional services including fractional executive leadership and back-office support. The President was a key figure in the founding of NCTP and was involved with all aspects of the start-up phase of the organization, and the Board and the President agreed for NCTP to contract BG for services relevant to the start-up phase that BG typically and customarily offers to other nonprofit clients at similar hourly rates. The President also serves as an Officer for The Leonard G. Herring Family Foundation (the "Foundation"), the nonprofit grantmaking organization that who provided the seed funding for the start-up phase of the organization's lifecycle. The practice of hiring BG followed the organizations Conflict of Interest policy. BG services to NCTP generally consisted of an Executive Consulting Fee and a Professional Support Services fee. Examples of services invoiced as Executive Consulting Fees include negotiating with Per Scholas as a content and learning provider, identifying and negotiating contract terms with key employer partners, overseeing the design and implementation of the construction project at The Masthead, and managing all financial aspects of NCTP outside the payment of BG invoices. Examples of services invoiced as Professional Support Services include bookkeeping and payroll services to track the Foundation's grant dollars, assisting in the implementation of NCTP's technology stack and systems, and support for the Board, President and Executive Director. Subject to NCTP Boards approval, BG services are expected to continue only as long as NCTP remains in start-up phase and until the organization identifies successor professionals to provide such services.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and all material facts to the Directors and members of Committees with Board delegated powers considering the proposed transaction or arrangement. The chairperson of the Board or Committee shall, if appropriate, appoint a disinterested person or Committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the Board or Committee shall determine whether the Corporation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the Board or Committee shall determine by a majority vote of the disinterested Directors whether the transaction or arrangement is in the Corporations best interest and for its own benefit and whether the transaction is fair and reasonable to the Corporation and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. The minutes of the Board and all Committee with Board-delegated powers shall contain: the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the Boards or Committees decision as to whether a conflict of interest in fact existed and the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith.
