Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization works with a qualified cpa firm to prepare and file the form 990. A copy of the form is provided to the full governing body before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer, and member of a committee with governing board delegated powers annually signs a statement which affirms they have received a copy of the conflict of interest policy, have read and understand the policy, have agreed to comply with the policy, and understand the organization is charitable and in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. If the board of directors determines that a conflict of interest does not exist, the board of directors may consider the relevant transaction under its normal procedures. If the board of directors determines that a conflict of interest exists, the board of directors uses the following procedures: - once a transaction that presents a conflict of interest is identified, the covered persons with conflicted interests will not attempt to influence decision makers regarding the matter and not participate in or attend any discussion, deliberation, or vote on the conflict or transaction except to respond to information requests for factual information needed by the board to make an informed decision. - the board reviews the transaction and determines, by a majority vote of disinterested directors, whether the transaction is in the charity's best interest and whether it is fair and reasonable to the charity. If the board determines that the transaction is in the charity's best interest and is fair and reasonable to the charity, then the board determines whether to move forward despite the conflicting interest. When proposed transactions are of a significant size or scope, this board's review includes consideration of the terms upon which other comparable organizations enter into similar transactions or arrangements.

Form 990, Part VI, Section B, Line 15A

The board reviews the compensation of the ceos of comparable organizations of similar size, mission and complexity, including nonprofit news organizations, nonprofit research organizations, and nonprofit sector infrastructure organizations. The board also utilizes compensation survey data for similar nonprofits produced by an independent research organization. The last compensation review for the top management official, took place in march 2025.
