“It is the foundation's affirmative policy to require that all actual or apparent conflicts and dualities of interest be disclosed promptly and fully to all necessary parties and to take appropriate steps to ensure that: (i) a director, officer, or member of committee with an actual or apparent conflict or duality of interest does not improperly participate, directly or indirectly, in any decisions of the board, any committee, or the foundation regarding whether to enter into or continue any transaction or arrangement that might benefit the private interest or a competing interest of such person, or the implementation of such transaction or arrangement; (ii) issues regarding whether or not to enter into or continue a transaction or arrangement that might benefit the private interest or a competing interest of a member of the board, an officer, or member of a committee, or regarding the implementation of any such transaction or arrangement, are considered, and decisions are made, in a way that neither advantages or disadvantages such person's interest based on service as a member of the board of directors, an officer, or member of a committee; and (iii) in the event and to the extent the foundation elects to enter into or continue a transaction or arrangement that might benefit the private interest or a competing interest of a director, officer, or member of a committee, or the implementation of such transaction or arrangement, procedures are established to: (i) limit the direct involvement of such person in such transaction or arrangement in appropriate circumstances; and, (ii) in such instances where such direct involvement is appropriate, make clear that such person is acting on behalf of such private interest and is not acting as a director, officer, or member of a committee of the foundation.”

Our mission is to develop a dynamic, real-time and global link between those who commercially produce our food and the individuals, families and communities who need it most. We know the issue of food waste and insecurity is a global one that is also felt close to home and with our collective of customers, volunteers and donation partners all around the world, our impact can reach further. In other words, there's nowhere for hunger and food waste to hide. We also know the issue of food insecurity does not exist in a vacuum and often individuals and families experiencing hunger are facing other social challenges. In 2024, we expanded our mission to include social determinates of health related to food insecurity. Including support to partners that focus on workforce development features like career upskilling, economic mobility features like financial literacy and supporting safe places for children to play and recreate.”
