“RESTATED ARTICLES OF INCORPORATION OF THE CATALINA CREW FOUNDATION 1. They are the president and the secretary, respectively, of THE CATALINA CREW FOUNDATION, a California nonprofit corporation, with California Entity Number (4737142). 2. The Articles of Incorporation of this corporation are amended and restated to read as follows: Article I: Name of the Organization The name of the organization shall be The Catalina Crew Foundation (hereinafter referred to as "the Foundation"). Article II: Purpose "This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public or charitable purposes." 1. To support neurodivergent and under-represented children, veterans, individuals and other vulnerable populations, including but not limited to families affected by trauma and difficult life circumstances. 2. To provide accessible opportunities for these individuals and families to experience boating and other water sports on our scenic waterways as a means of healing, personal growth, and family bonding. These activities will help foster connectedness and unity through shared recreational experiences in natural environments. 3. To educate and raise awareness of environmental threats to oceans, lakes, and other bodies of water. The Foundation is dedicated to promoting sustainable practices and supporting efforts to protect and preserve these waterways for future generations. 4. To engage in fundraising activities that further the goals of the organization, including the solicitation of donations, the donation of boats, yachts, and marine equipment, for and or the use and sale of such assets to generate income for the Foundations charitable programs. The Foundation shall operate exclusively for charitable, educational, and environmental purposes, as described above, and shall not engage in any activities not permitted under Section 501(c)(3) of the Internal Revenue Code. Article III: Nonprofit Nature The Foundation is a nonprofit organization. Article IV: Exempt Activities Notwithstanding any other provision of these Articles, no part of the activities of the Foundation shall consist of carrying on propaganda or otherwise attempting to influence legislation (except as provided in Section 501(h) of the Internal Revenue Code), and the Foundation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Article V: Membership The Foundation may have members in the future. The Foundation has no members at this time. Article VI: Board of Directors The affairs of the Foundation shall be managed by a Board of Directors, which shall consist of a minimum of three (3) directors, and the number may be increased by resolution of the Board. The initial directors of the Foundation are: 1. SEAN MCCARTHY, PRESIDENT 2. AMY MCCARTHY BALUCH, SECRETARY 3. CHERYL MCCARTHY, TREASURER Directors shall serve with possible compensation and maybe reimbursed for actual expenses incurred in the performance of their duties. Article VII: Dissolution Upon the dissolution of the Foundation, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Article VIII: Limitation of Liability No director, officer, or member of the Foundation shall be personally liable for the debts, liabilities, or obligations of the Foundation. The Foundation shall indemnify its directors, officers, employees, and agents to the fullest extent allowed by law. 3. The foregoing amendment and restatement of Articles of Incorporation has been duly approved by the board of directors. 4. The corporation has no members as”
