“Any person duly licensed to practice medicine and surgery as an Osteopathic physician and surgeon in the state of Arizona may be admitted to membership upon application and payment of annual dues.”

“Members elect officers and trusteess at the annual meeting.”

“The House of Delegates shall be the legislative and governing body of the association. Any amendments to policies and procedures, including the by laws, are passed by a majority of board member votes before the house of delegates consider any amendment requests.”

“The 990 is prepared by an outside accounting firm. It is then discussed and reviewed by the executive director independently, as well as with the finance and executive committees, to determine if any adjustments are needed. The full board of directors is provided a finalized version prior to filing.”

“At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from the discussion if there could be a perceived conflict. Annually, the organization reviews and discusses the conflict of interest policy and requests that each bard membr list and acknowledge any known conflicts.”

“The board may hire and compensate individuals for necessary services rendered to the organization so long as such compensation is reasonable. The board shall determine reasonable compensation amounts based upon compensation paid by similarly situated nonprofits for like services. An individual who is a member of the board who received compensation, directly or indirectly from the organization for services, is precluded from participating in discussions or votes pertaining to their own compensation, currently, all directors are volunteers.”

“The organization will provide, in a timely manner, financial statements and governing documents including its conflict of interest policy when requested in writing or in person.”
