All members and employees of the organization shall exercise utmost good faith, care and diligence in all transactions involving shcc. They shall not use their positions or knowledge gained there from, nor shall they engage in any activities including, but not limited to, investments or other employment, which might involve interests in conflict with those of the organization. All members and employees have an affirmative duty to immediately disclose to the governing board chairperson or to the director of nursing or their designees all knowledge of potential or actual situations involving conflicts of interest. All laws and applicable rules and regulations pertaining to this section which have been promulgated and to which the governing board shall be subject shall be incorporated by reference into this section as if fully set forth herein. The governing board shall issue such rules and regulations as it deems appropriate to give full force and effect to this policy. At this time, these rules are still being developed.

The change in opening fund balance relates to prior period audit adjustments. The 2023 return was filed prior to the completion of the audit that was conducted for the period march 22, 2021 through december 31, 2023.

Financial Statement Notes

Schedule D, Page 3, Part X

The 2024 audited financial statements have not been issued as of the date this return was filed. Following is the footnote from the prior audit for the period march 22, 2021 through december 31, 2023. The organization is a not-for-profit corporation that has been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. The organization applies accounting policies that prescribe when to recognize and how to measure the financial statement effects of income tax positions taken or expected to be taken on its income tax returns. These rules require management to evaluate the likelihood that, upon examination by the relevant taxing jurisdictions, those income tax positions would be sustained. Based on that evaluation, the organization only recognizes the maximum benefit of each income tax position that is more than 50% likely of being sustained. To the extent that all or a portion of the benefits of an income tax position are not recognized, a liability would be recognized for the unrecognized benefits, along with any interest and penalties that would result from disallowance of the position. Should any such penalties and interest be incurred, they would be recognized as operating expenses. Based on the results of management's evaluation, no liability is recognized in the accompanying balance sheet for unrecognized income tax positions. Further, no interest or penalties have been accrued or charged to expense as of december 31, 2023, or for the period from march 22, 2021 to december 31, 2023. The organization's tax returns are subject to possible examination by the taxing authorities. For federal income tax purposes, the tax returns essentially remain open for possible examination for a period of three years after the respective filing deadlines of those returns.
