Drag Story Hour

“Any director may be removed at any time without cause by two-thirds of the Entire Board at a regular or special meeting called for that purpose; or with cause by a majority of the directors present at such a meeting where there is a quorum present; or if quorum cannot be met due to board inactivity, board officers may by unanimous vote, may remove absentee board members for cause; provided that, prior to the removal of a director, such director will, to the extent reasonably possible and appropriate, be afforded an opportunity to make remarks to and answer questions of the Board. For purposes of this Section 5.07, cause exists if the director has been declared of unsound mind by a final order of court, is convicted of a felony, is found by final order or judgment of any court to have breached a duty under Article 3 of the California Nonprofit Corporation Law governing standards of conduct or fails to be present at two consecutive regular Board meetings during any fiscal year. Directors are expected to be present at every regular meeting of the Board and may miss no more than one two consecutive such meetings per year.”
