The only prior formal board action occurred in 2023 to adopt the bylaws and appoint directors. Beginning in 2025, the organization will institute a regular annual board meeting schedule and will document all meetings with written minutes approved at subsequent meetings. Formal resolutions will be adopted for significant board actions, including bylaw amendments, adoption of the updated conflict-of-interest policy, and other major organizational matters. These steps are intended to ensure full compliance with irs requirements for contemporaneous documentation of board decisions.”
