The members of the corporation shall consist of those persons who serve as directors of the corporation.

Form 990, Part VI, Section A, Line 7A

Directors shall be elected by plurality vote at the annual meeting of the board of directors. At each such election for directors, every member entitled to vote at such election shall have the right to cast one vote for as many persons as there are directors to be elected and for whose election he or she has a right to vote. The nomination of a new board member is submitted to the county quorum court for approval.

Form 990, Part VI, Section A, Line 7B

The board of directors may recommend, but shall not, without the express written consent of the sole corporate member, have the power to take any of the following actions: 1 any fundamental change in the mission, philosophy, or strategic plan of the hospital, 2 adopt, amend or repeal the articles of incorporation or bylaws, 3 the incurrence of debt, including without limitation, borrowings, guarantees, loans, encumbrances, operating leases, purchase or lease of real estate, and capital leases, in excess of $1,000,000 measured in an annual aggregate, 4 any merger or consolidation to which the hospital is a party, 5 the sale or disposition of all or substantially all of the assets of the hospital, 6 adopt or modify policies pertaining to charity care, 7 any release or cancellation of individual claims in excess of $250,000, 8 any capital expenditures which in the aggregate exceeds $250,000 annually, 9 appointment and removal of corporate directors, 10 the defense, settlement or resolution of any regulatory challenges to the legal structure of the hospital, alleged overpayments from any governmental agency or any allegations from a governmental agency of fraud and abuse.
