Governance Explanations

Form 990, Page 6, Part VI, Line 6

Membership is limited to:(i)past or present owners, operators, or managers of duly licensed hotel, timeshare, or lodging properties within the state of hawaii that have met the requirements of membership (as established by the board of directors from time to time); and (ii)such other persons or entities that meet the requiremnts for membership (as established by the board of directors from time to time). Membership is subject to approval by the board of directors. There will be two types of members -- voting members and non-voting members. Each voting member shall have a voting percentage which is calculated by dividing (a) the number of hotel rooms or lodging units owned, leased, and/or managed in the state of hawaii by such member and which are used to calculate the dues paid by such voting member, by (b) the total number of hotel rooms or lodging units owned, leased,and/or managed in the state of hawaii by all voting members and which are used to calculate the dues paid by all voting members of the corporation. For avoidance of doubt, any particular hotel room may only be counted once when it comes to calculating voting percentage. For example, if both a hotel owner, and that hotels manager, become members of the corporation, then either the owner or the manager may become a voting member based upon the number of rooms represented by the hotel, and the other shall be a non-voting member. Furthermore, room counts may not be split between owners and managers of a hotel. Either the owner shall represent all the rooms in the hotel as a voting member, or the manager shall represent all the rooms in the hotel as a voting member. Each voting members voting percentage shall be determined as of the date of the most recent membership dues paid by that member. Non-voting members may participate in all other aspects of the corporation, except that non-voting members shall not have the right to vote on any issue upon which the members may vote. Only voting members may vote. Membership dues shall be payable by both voting and non-voting members, however non-voting members dues will be less than the dues paid by voting members, as determined by the board of directors from time to time.

MEMBERSHIP IS SUBJECT TO APPROVAL BY THE BOARD OF DIRECTORS. THERE WILL BE TWO TYPES OF MEMBERS -- VOTING MEMBERS AND NON-VOTING MEMBERS. EACH VOTING MEMBER SHALL HAVE A VOTING PERCENTAGE WHICH IS CALCULATED BY DIVIDING (A) THE NUMBER OF HOTEL ROOMS OR LODGING UNITS OWNED, LEASED, AND/OR MANAGED IN THE STATE OF HAWAII BY SUCH MEMBER AND WHICH ARE USED TO CALCULATE THE DUES PAID BY SUCH VOTING MEMBER, BY (B) THE TOTAL NUMBER OF HOTEL ROOMS OR LODGING UNITS OWNED, LEASED,AND/OR MANAGED IN THE STATE OF HAWAII BY ALL VOTING MEMBERS AND WHICH ARE USED TO CALCULATE THE DUES PAID BY ALL VOTING MEMBERS OF THE CORPORATION. FOR AVOIDANCE OF DOUBT, ANY PARTICULAR HOTEL ROOM MAY ONLY BE COUNTED ONCE WHEN IT COMES TO CALCULATING VOTING PERCENTAGE. FOR EXAMPLE, IF BOTH A HOTEL OWNER, AND THAT HOTELS MANAGER, BECOME MEMBERS OF THE CORPORATION, THEN EITHER THE OWNER OR THE MANAGER MAY BECOME A VOTING MEMBER BASED UPON THE NUMBER OF ROOMS REPRESENTED BY THE HOTEL, AND THE OTHER SHALL BE A NON-VOTING MEMBER. FURTHERMORE, ROOM COUNTS MAY NOT BE SPLIT BETWEEN OWNERS AND MANAGERS OF A HOTEL. EITHER THE OWNER SHALL REPRESENT ALL THE ROOMS IN THE HOTEL AS A VOTING MEMBER, OR THE MANAGER SHALL REPRESENT ALL THE ROOMS IN THE HOTEL AS A VOTING MEMBER. EACH VOTING MEMBERS VOTING PERCENTAGE SHALL BE DETERMINED AS OF THE DATE OF THE MOST RECENT MEMBERSHIP DUES PAID BY THAT MEMBER.
