“There shall be two classes of membership in the corporation: a. Members in the controlling class i. Actively participate in the activities conducted by the corporation to achieve its goals; ii. Have the right to vote on all matters requiring a vote of the membership; and iii. Make property or monetary investments to the corporation. B. Members in the non-controlling class i. Do not actively participate in the activities conducted by the corporation; ii. Do not have the right to vote on all matters requiring a vote of the membership; and iii. Make monetary investments to the corporation.”

“The board of directors is elected by the members in the controlling class.”

“Admission of controlling members shall be conferred upon the unanimous vote of all the controlling members. Admission of non-controlling members shall be conferred upon the affirmative vote of two-thirds of the board of directors of the current controlling members present at a meeting at which a quorum is present.”

“2021 is the initial year of existence.”

“The organization does not have any committees that may act on behalf of the board of directors.”

“The board of directors engages an independent certified public accounting firm to prepare the form 990. Upon completion, it is reviewed by the organization's president and treasurer. A copy of form 990 is provided to all board members prior to being filed with the internal revenue service.”

“Each person in a position of authority (such as an officer, director, or manager) must on an annual basis sign a conflict of interest disclosure statement affirming they have received a copy of the conflict of interest policy, they have read and understood the policy, and they have agreed to comply with the policy.”

“Requests for access to documents, which by law are open to public access, may be made by application to the organization.”
