Chair/president and coo. Dac compensated hlg $1,061,870 for those services. The duties of the chair/president and coo were provided to dac by george vradenburg and andrew holzapfel, respectively. Of the $1,061,870 compensation paid to hlg by dac, $70,000 is related to the services provided by andrew holzapfel. George vradenburg does not receive any salary or payment.”

After exercising due diligence, the board determines whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board determines by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, whether it is fair, reasonable, and the result of arm's-length bargaining, and whether it reflects reasonable investment criteria or payments for goods and services, furthers the corporation's purposes and does not result in private inurement, impermissible private benefit or an excess benefit transaction. In conformity with the above determination, the board or committee makes its decision in writing and on the record as to whether to enter into the transaction or arrangement.”
