Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Directors receive the draft form 990 as part of the materials to be reviewed during a regularly-scheduled board meeting soon after the completion of the return. The directors have the opportunity to comment on or ask questions about the return before and during the board meeting. The full board votes to approve the form 990 after any requested changes have been made and before it is filed.

Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy is discussed annually at a board meeting and directors are requested to sign the policy statement each year.

Form 990, Page 6, Part VI, Line 15A

The executive director is reviewed annually by the executive committee, which reports its findings on performance and recommendations on compensation to the full board. The board examines and approves compensation as a component of this process. The board's discussion and decision are recorded in the meeting minutes and the comparability information used to set compensation is maintained with those minutes in the corporate record book.

NOT APPLICABLE

Form 990, Page 6, Part VI, Line 19

The organization began operations in fiscal year 2021. The organization's governing documents are available to the public as part of the form 1023. The organization does not routinely provide its conflict of interest policy or financial statements to the public, but will consider any requests for those documents on a case-by-case basis.
