“The organization has the following classes of membership: active members, associate members, friends of scouting, and honorary members. Only active members have voting rights in the organization. The active membership of the local council shall consist of chartered organization representatives and members at large. Chartered organization representatives shall represent organizations or community groups operating units. Each organization or community group to which a charter is granted by the boy scouts of america to operate one or more recognized scouting units shall elect or appoint a chartered organization representative, who shall be other than the unit leader or assist unit leader, as a member of the local council. Members at large of the local council shall include persons chosen from the various business, civic, educational, labor, professional, social, and religious interests of the communities in the corporation's territory.”

“The council's membership has the right to elect the members of the council's governing body.”

“The bylaws may be amended at any meeting of the executive board, upon the recommendation of the executive committee of the executive board, or when the proposed amendment has been sent to members of the executive board at least 15 days in advance of the meeting. All amendments to these bylaws must first be approved by the national office of the boy scouts of america before being submitted to the executive board for adoption.”

“The prepared form 990 is reviewed by the members of the governing body before the return is filed with the irs.”

“Annually all directors and officers complete and sign a statement that provides information regarding their interests and those of their family members that could give rise to conflicts. The members of the governing body make determinations of whether a conflict exists and review actual conflicts. Any person with a conflict is prohibited from participating in the governing body's deliberations and decisions in the transaction.”

“The members of the council's compensation committee determine the executive director's compensation based on the guidelines and recommendations of the national council of the boy scouts of america as well as on the council's budget. The guidelines of the national council use measures of position, description, and performance.”

“The council makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Receipt is available either in the office or by mail.”
