Governance Explanations

Form 990, Part VI, Section B, Line 11B

- A draft of the Form 990 is completed by the outside accountant, then reviewed in detail by the staff accountant and Executive Director who takes a direct role in the annual closing of the books. An updated draft 990 is then electronically sent to each Board member and officer for their review before the 990 is finalized.

Form 990, Part VI, Section B, Line 12

- Directors officers are given a copy of the conflict of interest policy annually and asked to review it at a board meeting, they are specifically asked if there are any potential conflicts, which are then discussed and documented in the minutes. If conflicts of interest arise, those persons do not participate in the discussion or voting on related matters.

Form 990, Part VI, Section B, Line 15

- The Board of Directors reviews and approves the compensation for every employee, including the Executive Director, on an annual basis, after first comparing that compensation to similar positions at similar organizations and agencies. Officer and directors serve in those capacities as volunteers, without compensation.

Form 990, Part VI, Section C, Line 19

- The governing documents, conflict of interest policy and financial statements of the organization are made available to the public upon request. The Form 990 is also available online at Guidestar.org.

Form 990, Part VI, Section A, Line 2

- As an outside contractor, Kurt Menke President performed services for and was supervised by Kim Vacariu Secretary/Treasurer of the Wildlands Network, an unrelated organization.

Public officials the Musuem of N Arizona director spoke in support of corridors the GC Watershed Natl Mon at our TrekWest event in Flagstaff attended by 50 citizens. We led John Davis on TrekWest through the proposed monument area, documenting active logging of old-growth pondersoa pine conducting outreach to followers of TrekWest nationwide via John Davis blog posts from the trek. 2 Southern Utah Corridors - In conjuction with Birds Eye View GIS, for Washington County we produced connectivity habitat maps for the Red Cliffs NCA RMP cont. on Schedule O, p3

Program Service Expenses 60,697, Grants and allocations 0, Revenue 0 FOCAL SPECIES programs The organization has actively engaged promoted wolf recovery since our inception in the mid-1990s, and was instrumental in establishing the Grand Canyon Wolf Recovery Project, which we fiscally sponsored again in 2013, as a coalition of like-minded organizations and individuals, for the purpose of wolf recovery in the Grand Canyon Ecoregion, essentially the southern Colorado Plateau of Utah, Arizona New Mexico. In 2013, we continued to participate as a stakeholder on the reocvery planning team to keep Grand Canyon Ecoregion part of the Mexican wolf recovery area and support genetic viability of Mexican wolves through more releases. We worked with the Utah Wants Wolves group, engaging the Sierra Club Utah Chapter, Wild Utah Project, Western Wildlife Conservancy others in Mexican wolf recovery. We published opinion letters in the Salt Lake Tribune Az Daily Sun and prepared submitted comments on the USFWS draft rule for Mexican wolves. We engaged participants assisted with travel logistics cont. on Schedule O, p4

- Capitalized River Guide Costs - These contra expenses represent the amount capitalized to the balance sheet as Other Assets and represents the costs incurred during 2013 to research, write, edit and design the organizations primary educational publication, The Colorado River Through Grand Canyon. The copyright to the publication, which had not been updated or republished in 30 years, was donated to the organization in 2013 by former board member and current Science Director staff, Dr. Lawrence Stevens. The long-term costs associated with updating the publication, including 20,954 in staff compensation, were capitalized as intellectual property in 2013 and are being amortized over a 10-year life.

Form 990, Part IX, Line 11G

- Fees for Services Other - These expenses represent payments to outside professional contractors for largely program-related services, including GIS mapping services, field photography, field support services transportation, catering, restoration field work, data compilation, graphic design and scientific consulting services.

COLORADO RIVER programs, continued tamarisk removal, native plant revegetation, and northern leopard frog habitat construction monitoring at Hidden Slough Leopard Frog Marsh in Glen Canyon. Some 82 volunteers helped replace beaver fencing to protect cottonwood trees at Lees Ferry. Some 125 Gooddings willow and Fremont cottonwood trees were maintained and fenced at Hidden Slough. Released a new edition of The Colorado River in Grand Canyon - A Map Guide to its Human and Natural History by Dr. Larry Stevens the first new edition in almost 30 years. During 2013 we completed the guide revision and redesign, production and printing with the release in September. It reaches over 20,000 people per year who raft or research the Colorado River in Grand Canyon.

OUTREACH programs, cont the whole trek to serve as a long-term outreach tool, with Ed George, renown cinematographer and GCWC board member. At the Summer Market of the Outdoor Retailers show we arranged for Davis to join the Conservation Alliance VIP dinner, obtain gear donations, and forge new partnerships with Black Diamond Equipment and Osprey Packs.

SPRINGS programs, continued The uppermost gabion functioned well, and was unaffected by the flood however, impacts on the gabions generally increased in severity over distance downstream. Most of the revegetation planting efforts at Pakoon Springs have been successful, with low mortality and rapid growth of wetland groundcover including Yerba Mansa, and Gooddings willow and Fremont cottonwood. Noted that still conspicuously absent from Pakoon Springs were Gambels quail callipepla gambelii, which likely continue to be hunted out.

GRAND CANYON WILDLANDS NETWORK, cont from p1 of Sch O and the St. George Field Office RMP amendment. As a result, BLM is proposing one of our wildlife corridors as a special area. For the Cedar City Field Office, we conducted field surveys compiled information identifying lands with wilderness character LWC, with emphasis on significant wildlife core habitat and corridors for the Utah prairie dog, greater sage grouse, mountain lion, mule deer and other wildlife. Together with 10 participants on a 5-day Veterans Day field outing, we evaluated the wilderness qualifies of four Utah mountains, visiting areas selected or rejected by the BLM as LWC.

Form 990, Part III, Line 4D

FOCAL SPECIES programs, cont from p2 of Schedule O in the Hon-dah, near Pinetop, AZ wolf hearing in December where we testified in support of the science team recommendations for three populations of Mexican wolves, including the current AZ/NM recovery area, Grand Canyon and southern Utah, and in southern Colorado/northern New Mexico. On behalf of the California condor, we continued to partner with the Center for Biological Diversity and the Sierra Club on a campaign to ban the use of lead ammunition on the Kaibab Plateau through public outreach, litigation and forest plan comments.
