Form 990, Part VI, Section A, Line 7A

The sole member has approval rights over the appointment or removal of a director, or the filling of vacancies on the board of directors, subject to one restriction more fully explained in the line 7b explanation. Subject to this member approval right, the current board elects directors to replace the directors whose terms are due to expire. In addition, the bylaws set the following board composition as nearly as is practicable: - one third of the directors shall be elected from individuals in the civic and business communities in the general area served by the corporation. - one third of the directors shall be elected from individuals serving as elected officials (or their designees) on various political bodies as defined and that encompass all of part of the general area served by the corporation. - at least one-third of the directors must be chosen using democratic selection procedures administered by the corporation that are adequate to assure that the members are representative of low income individuals and families in the neighborhood served and, if they represent a specific neighborhood, that they live in that neighborhood.

The form 990 is prepared by the independent certified public accounting firm who conducted the financial statement audit and is then presented to the cfo and the ceo of a new leaf for their review and discussion. Once approved by them, the form 990 is distributed to the board of directors prior to filing with the irs.

All members of the board of directors and key leadership staff complete conflict of interest forms as required under a new leaf, inc.'s conflict of interest policy. The organization's management team monitors compliance with policies and use of vendors, agencies, professionals or other outside organizations to ensure compliance with policies. Board members recuse themselves from discussions or votes when potential conflict of interest arise. Board members annually complete a disclosure of conflict of interest statement which is maintained by the governance committee and the ceo and forwarded to any government agencies which require such disclosure.

Mesa community action network (mesacan) is managed by a new leaf, inc. And mesacan reimburses them for salaries. A new leaf, inc reports the following processes for determining the compensation of their ceo and other officers and key employees: the ceo's salary is determined annually by the executive committee of the board of directors in conjunction with an annual performance review. The executive committee considers comparative market data for similar positions in comparable organizations in setting the annual salary for the ceo. The ceo follows a similar process in setting the salaries of key employees and officers of the organization with annual performance reviews and analyses of market data for similiar positions in comparable organizations. The board of directors approves the salaries of key employees and other officers in the budget approval process for the organization. Written contemporaneous substantiation is kept of the decisions made.

DURING FISCAL YEAR 2018-19, 1,417 UNDUPLICATED CLIENTS WERE SERVED WITH UTILITY AND/OR RENT/MORTGAGE ASSISTANCE. MESACAN ALSO SERVED AN ADDITIONAL 5,964 REPEAT CLIENTS. IN ADDITION, MESACAN ASSISTED 195 UNEMPLOYED MEMBERS OF THE COMMUNITY OBTAIN EMPLOYMENT, 8 OBTAINED EMPLOYMENT EARNING A LIVABLE WAGE, 19 INCREASED BENEFITS RELATED TO EMPLOYMENT. SUPPORT SERVICES RELATED TO BARRIERS TO EMPLOYMENT WERE ALSO PROVIDED, SUCH AS CLOTHING, BUS PASSES OR GAS CARDS.
