“Executive committee consists of the officers of the board of directors (board chair, board vice chair, secretary, treasurer and chair of the board development and governance committee). After the return has been reviewed by management and all necessary corrections are made, the entire form 990 and all related schedules are provided to the finance committee and reviewed and discussed during a scheduled finance committee meeting. The entire form 990 and related schedules are provided to the board of directors for review and approval prior to filing.”

A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining a quorum for purposes of the vote.”
