“Executive committee consists of the officers of the board of directors (board chair, board vice chair, secretary, treasurer and chair of the board development and governance committee). The executive committee may appoint a member from the board to serve on the executive committee for a set amount of time. The executive committee shall have the power to transact all regular business of the corporation between meetings of the board. Without limiting such power, the committee shall take no actions contrary to formally stated policies of the board. The executive committee shall evaluate the performance and review and establish the compensation of the chief executive officer. The finance committee consists of at least three members of the board of directors with the treasurer serving as the chair of the finance committee. The finance committee, with the board chair, shall have the authority to act on behalf of the board on all financial matters which can not be delayed until the board's next regularly scheduled meeting. The finance committee, with the consent of the board chair, is authorized to commit expenditures up to a total amount which shall be determined from time to time by the board. Any action taken by such committee pursuant to the foregoing authority shall be reported to the board at its next regular meeting. The head policy counsel includes student's parents. Committees within their charter make recommendations which are then considered by the complete board of directors.”

Under the head start act, board members (or their relatives or business associates) are not allowed to receive compensation for services performed for the grant recipient (swhd). Thus conflicts of interest are strictly forbidden and where conflicts arise require board members leave the board. Similar restrictions are imposed on key employees (and their relatives) for any compensation beyond reasonable salary and benefits.”
