Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee may act with full authority of the board of directors between scheduled board meetings and also if a quorum is not present at a scheduled board meeting. Without intending to limit the powers given to the executive committee in the preceding sentence, the executive committee shall have also the specific responsibilities from time to time given to it by the board. In no event, however, shall the executive committee have the power to (a) fill any vacancy on the board of directors or any committee appointed by the board, (b) adopt amendments to the articles of incorporation or the bylaws, (c) amend or revoke policies established by the board of directors respecting the investment of funds held by this corporation; ( d) encumber or authorize the sale of all or substantially all of the assets of the corporation; ( e) authorize the dissolution of the corporation; or (f) take any other action prohibited by law. The membership of the executive committee shall consist of the officers of the corporation, the chairpersons of the external relations and resources development committee, the finance performance oversight committee, and the program performance oversight committee, and, if still a director, the immediate past president of the corporation. The executive committee shall meet at least once each quarter prior to the board of directors regular meeting to review the recommendations of the other committees and plan the agenda of the regular meeting, including discussion and action items, staff presentations and program presentations. All members of this committee are currently part of the governing body.

The form 990 is prepared by the organization's independent public accounting firm based on information supplied by management. Once the draft return is prepared, the return is reviewed by management and any appropriate changes incorporated into the filing. The finance committee of the board of directors reviews the form 990 draft before submission. The full board of directors review after filing is completed.

Form 990, Part VI, Section B, Line 12C

Board members are periodically required to sign a conflict of interest policy which states that there are currently no existing conflicts of interest, no potential conflicts of interest, and if one should arise it will be disclosed in writing. Each director shall disclose to the board of directors as soon as reasonably possible any possible conflict of interest. The disclosure shall include (a) the existence and nature of the conflict of interest and (b) all facts known to the director respecting the subject matter of the transaction that an ordinarily prudent person would reasonably believe to be material to a judgment about whether or not to proceed with the transaction. Any director having a conflict of interest on any matter shall abstain from voting on the matter, shall leave the meeting room when the matter is being discussed, and shall not be counted in determining the quorum for the vote on the matter. In addition, he or she shall not use his or her personal influence on the matter, but may briefly state his or her position on the matter and may answer pertinent questions from other directors since his or her knowledge may be of great assistance. The board of directors determines the compensation of the ceo with data provided by the director of human resources, including a variety of compensation surveys with geographic and demographic data to determine a suitable compensation range. The organization has not changed either its oversight process or selection process during the tax year.

FORM 990, PART XI, LINE 8:

During the year ended june 30, 2016, certain errors related to the valuation of land acquired in prior years and accumulated depreciation applied to that land for the year ended june 30, 2015 and prior were discovered. The value of land was incorrectly included with the cost of buildings and accumulated depreciation was recorded for certain properties. As a result of these errors, beginning net assets for the year ended june 30, 2015 were increased by $213,797 and the change in net assets for the year ended june 30, 2015 was reduced by $12,301. Total value of land increased by $320,996, value of buildings decreased by $320,996, and accumulated depreciation decreased by $226,098 as of june 30, 2015.

The prior period adjustment reported on this line reflects the inclusion of housing for hope assets at december 31, 2015 which were erroneously excluded from the previously filed form 990 prepared by the organization.

Catholic charities qualifies as tax-exempt organization under section 501(c)(3) of the internal revenue code (the code) and, accordingly, there is no provision for income taxes in the accompanying consolidated financial statements. Catholic charities qualifies for the charitable contribution deduction under section 170 of the code and has been classified as an organization that is not a private foundation. Income determined to be unrelated business taxable income (ubti) would be taxable. For income tax purposes, cccs holdings, llc, cccs properties, llc, cccs services, llc, housing for hope i, llc, housing for hope ii, llc, housing for hope iii, llc, housing for hope iv, llc, and h4h development, llc are disregarded entities and are treated as a department of catholic charities. Cccs evaluates its uncertain tax positions, if any, on a continual basis through review of its policies and procedures, review of its regular tax filings, and discussions with outside experts. Housing for hope, inc. Is in the process of applying for their tax exempt status with the irs.
