“The regular members of the executive committee consist of the chairman of the board of directors, the vice chair, and the immediate past chairman of the board, the secretary, and the treasurer. The chairman of the board of directors acts as chairperson of the executive committee. The executive committee meets on call of the chairman of the board of directors as necessary. The executive committee shall carry into execution all orders, votes and resolutions of the board which are not otherwise self-executing and shall perform such other duties as may be assigned to it by the board.”

“The 990 was prepared by an outside accounting firm and reviewed by the cfo. Then a draft form 990 was emailed to the members of the board for review prior to filing return.”

“It is the policy of the centers for habilitation/tch to avoid any conflict of interest in service on or actions taken by the board of directors (the "board") and the executive committee of tch. It is also the policy of tch that all officers of tch will avoid any conflict of interest. A director shall not vote on nor participate in the board discussion regarding any matter that will directly or indirectly financially affect another service organization, business, or activity with which that director is also closely associated and may personally benefit from that association. Periodically, each director and officer is required to sign off on the organization's conflict of interest policy statement. It is also tch's policy to have all members of its senior management team sign off on the organization's conflict of interest policy statement. The signed off policy statements are initially reviewed by the ceo and cfo for compliance with the organization's conflict of interest policy. Any items of a questionable nature are then reviewed by the board, and each item is dealt with individually depending on the circumstance. If it is determined that a conflict does exist, that person shall not vote on nor participate in the discussion of any matters related to the item that creates the conflict.”

“Tch utilizes a process that assures that decisions regarding executive compensation are made through a process free of potential conflict of interest. The executive committee of the tch board of directors has the authority to make recommendations to the tch board regarding executive compensation (ceo). Only those members of the executive committee that are independent may be involved in the evaluation of the executive compensation. The executive committee, to the extent reasonably available, relies on appropriate data as to comparability of tch's executive compensation prior to making a decision and making the recommendation to the board of directors. This decision and the data supporting the decision shall be documented and included with the status change report processed by tch and kept within the officer's personnel file. The action by the board of directors is recorded and becomes part of the official board of directors' minutes. The current ceo's employment agreement was approved by the board of directors in december 2014 and initially expired in june 2016. The ceo's employment agreement was updated in july 2016. The cfo's salary is determined by the ceo and was adjusted in june 2017.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
