Realtor members, designated realtor members, affiliates members, institute societies and council members, appraiser members.

Each member has the right to vote in the election of directors realtor members, designated realtor members, affiliates members, institute societies and council members, appraiser members excluding the president. The officers are elected by the board of directors annually. The current president-elect automatically assumes the office of president.

Amendments to the bylaws affecting the admission or qualification of realtor or institute affiliate members, the use of the terms realtor and realtors, or any alteration in the territorial jurisdiction of saar will become effective upon approval by the nar board of directors.

The form 990 is prepared by an independent accountant and reviewed by management. Once all changes are made the form 990 is approved by management and then provided to the leadership team of the governing board for review and approval. The leadership teams review and approval is generally completed before the filing of the return.

Directors and officers are covered under the conflict of interest policy. When key decisions are being made that could involve a conflict, the chairman of the board reminds them of the policy and asks if there are any conflicts. Employees are expected to perform their duties without a conflict of interest or the appearance of a conflict of interest. Any situation or occurrence creating a conflict of interest or the appearance of a conflict of interest must be reported immediately in writing to the chief financial officer. Employees are prohibited from maintaining an active arizona real estate license. Current association members are not eligible for employment by saar. Spouses or other family members of association members or existing staff are not eligible for employment by the association. Any conflict of interest decisions are maintained in the board meeting minutes.

The association qualifies as a tax-exempt organization under section 501 (c)(6) of the u.s. Internal revenue code (irc) and, accordingly, there is no provision for income taxes in the accompanying financial statements. The association has been classified as an organization that is not a private foundation. However, income from certain association activities is considered to be derived from an unrelated trade or business and is subject to income taxation. Taxable income (loss) by source is as follows: facility rental (loss) ( 84,760) venue events (loss) (630,490) ---------- total tax loss (715,250) as of december 31, 2020, the association has net operating loss carryforwards of 4,302,685 available for use against 100% of unrelated business taxable income through 2020 and 80% of future unrelated business taxable income thereafter. No tax benefit has been reported in these financial statements because the association believes that the carry- forwards will more than likely expire unused.
