The bylaws were amended on january 22, 2024. The following are the significant changes made: -article iii was amended to add more non-proprietary membership categories and to note which proprietary memberships are no longer being issued. -article iii was also amended to specify that non-proprietary members are non-voting members and are not eligible to serve on the board. Article xiii changed the affirmative board vote required to make a change to the bylaws or amended to two-thirds of the votes.

The club is comprised of 13 different classes of members: (1) proprietary members, (2) young executive members, (3) widow/widower members, (4) corporate proprietary members, (5) social members, (6) senior a members, (7) senior members, (8) associate members, (9) sports members, (10) legacy members, (11) young executive legacy members, (12) intermediate proprietary members and (13) pending proprietary members. Each membership class has its own qualifications, costs, and benefits. Proprietary membership is the only class which is granted the right to vote.

Proprietary members who are in good standing as indicated by the club records shall be entitled to cast one (1) vote. Each proprietary certificate holder shall have the right to cast one vote for each director(s) seat open and one (1) vote on each other matter to come before the proprietary members for a vote. Cumulative voting shall not be allowed. The board will establish from time to time requirements and processes for the use of proxies and ballots.

Form 990 is completed by the accounting firm who performs annual audit of the club's financial statements. The chief operating officer and chief financial officer initially review form 990 prior to distribution to board of directors. Form 990 is distributed to the club treasurer and finance committee board liaison for a second review. Prior to filing, form 990 is reviewed a third time by all board members.

Form 990, Part VI, Section B, Line 12C

The board of directors and their family members are covered under the organization's conflict of interest policy. If a conflict or apparent conflict occurs, the board member is to promptly disclose the conflict to the board president and/or the gm/coo. The conflict will then be discussed at an open board meeting to determine if there is a conflict of interest. The board member with the potential conflict will refrain from voting on matters involving them or their family members.

The president and the board of directors review and approve the compensation of the chief operating officer annually. This review includes comparability data from other country clubs in arizona with similar revenues and expenses. The chief operating officer and human resources director annually review all executive and department head level positions. This is usually done during the budget process. The coo and hr director work together through benchmarking nationally and locally to determine the appropriate pay for each key position. This benchmarking is done through competitive analysis and working with resources provided through organizations within the private club business sector. The positions are: chief financial officer, assistant general manager, director of membership and marketing, facilities manager, director of golf, director of agronomy, director of food and beverage, executive chef, aquatics director, spa director, fitness director, director of racquets, director of human resources, men's locker room manager and the outside service manager.

The club is a section 501(c)(7) organization whose income is generally exempt from federal and arizona income taxes. Unrelated business taxable income (ubti) is subject to taxation. As a result, the club is required to file informational returns for federal and state purposes and, if it has ubti, federal and state income tax returns. From time to time, the club may be subject to penalties and interest assessed by various taxing authorities. Penalties are classified as general and administrative expenses and interest as a fixed expense, if they occur.
