“The organizing documents for the foundation require that 10% of their annual distribution be paid to albuquerque charities. The foundation has hired the albuquerque community foundation (acf) to oversee this effort. Acf receives and reviews grant applications from albuquerque charities and presents those that acf believes to be worthy recipients to the sandia foundation board. The board then selects the actual recipients from the recommendations presented by acf and determines the amount to be given to each of the selected organizations. Acf then handles the actual distribution of the grants to the individual organizations and monitors the recipients to insure that the grants are used for the purpose they were given.”

“The foundation is a non-functionally integrated supporting organization (type iii supporting organization) under internal revenue code (irc) section 509(a)(3), and therefore is exempt from income taxes under irc section 501(c)(3) as a public charity. Accordingly, no provision for income taxes has been made in the financial statements. Gaap requires management to evaluate tax positions taken by the foundation and recognize a tax liability (or asset) if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has analyzed the tax positions taken by the foundation and has concluded that as of june 30, 2018, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The foundation is subject to routine audits by taxing jurisdictions; however there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for tax years ended prior to 2015.”

THESE BOARD MEMBERS HOLD OFFICE FOR TERMS OF FIVE YEARS, HOWEVER, THEIR TERM ENDS CONTEMPORANEOUSLY WITH THE DAT ON WHICH THAT DIRECTOR NO LONGER SERVES AS AN OFFICER OR MEMBER OF THE GOVERNING BOARD OF HIS OR HER EDUCATIONAL INSTITUTION EVEN THOUGH THE TERM, AS A RESULT, MAY BE LESS THAN FIVE YEARS IN LENGTH. HAVING REPRESENTATION ON THE BOARD OF SANDIA FOUNDATION GIVES THEM SIGNIFICANT VOICE IN SANDIA'S INVESTMENT POLICIES AND OTHER USE OF INCOME AND ASSETS. ANNUAL DISTRIBUTIONS ARE DETERMINED BY THE BOARD AND DOCUMENTED IN THE BOARD MINUTES. THE SELECTION OF GRANT RECIPIENTS IS DRIVEN BY THE ARTICLES OF INCORPORATION. THE UNIVERSITY OF NEW MEXICO, DICKINSON COLLEGE, AND VARIOUS ALBUQUERQUE CHARITIES THROUGH THE ALBUQUERQUE COMMUNITY FOUNDATION ARE THE DESIGNATED GRANT RECIPIENTS IN THE ARTICLES OF INCORPORATION. CURRENTLY THEY RECEIVED 45%, 45%, AND 10% RESPECTIVELY. |
