Key Logic employs two employees whose services were donated to US Research Impact Alliance in the amount of $123,251. The 2024 donated services were calculated at the hourly rates established in other government contracts.

Member election for additional members Part VI line 7A

The directors of the corporation shall be comprised of no less than three (3) members and no more than nine (9), with no more than three (3) members being from KeyLogic Systems, LLC, provided that there shall always be more directors from the community at large than from Keylogic Systems, LLC. If thirty (30) days have passed since nominations were requested from the appropriate entity and no nominations have been submitted the remaining directors may elect a director to fill a position requiring nomination. Each director shall hold office from the time of his election until the next regular annual meeting of the directors or until his successor is duly elected and qualified, unless he resigns or is removed pursuant to Section 2 of this Article II. No director need be a resident of WV. A regular annual meeting of the board of directors shall be held each year at such time and place as shall be determined by the board of directors, and the entities responsible for making nominations for the board of directors shall be invited to submit their nominations for board membership prior to this meeting. The board of directors may provide, by resolution, the time and place for the holding of additional regular meetings without other notice than such resolution.

If thirty (30) days have passed since nominations were requested from the appropriate entity and no nominations have been submitted the remaining directors may elect a director to fill a position requiring nomination. Each director shall hold office from the time of his election until the next regular annual meeting of the directors or until his successor is duly elected and qualified, unless he resigns or is removed pursuant to Section 2 of this Article II. No director need be a resident of WV. A regular annual meeting of the board of directors shall be held each year at such time and place as shall be determined by the board of directors, and the entities responsible for making nominations for the board of directors shall be invited to submit their nominations for board membership prior to this meeting. The board of directors may provide, by resolution, the time and place for the holding of additional regular meetings without other notice than such resolution.
