Mission and Program Overview

Mission

This trust fund is to be organized and operated exclusively for educational purposes in accordance with code 501(c). The fund is intended to provide a distinct legal entity into which monies may be contributed for the exclusive purpose of creating and administering an employee welfare benefit plan providing apprenticeship and training for the benefit of participants and their beneficiaries, and for defraying reasonable expenses of administration.

The phcc-gsa training trust fund is intended to be operated as an apprenticeship and training fund and an employee welfare benefit plan subject to the applicable provisions of erisa and the the internal revenue codeof 1986, as amended.

The organization's outside cpa firm prepare the form 990. The form is then reviewed and approved by the organization's executive director . The form is provided to the full board for review before filing.

Form 990, Part VI, Section B, Line 12C

Any trustee who has a direct or indirect financial interest, is a covered person in the confilict of interest policy. Each trustee annually signs a statement which affirms such person that he/she received a copy of the conflict of interest policy, have read and understood the policy, and has agreed to comply with the policy. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she should leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board members shall decide if a conflict of interest exists. An interested person may present information to the board but must leave the meeting during the discussion and vote on the transaction or arrangement involving the potential conflict of interest. If appropriate, the board chair appoints a disinterested person or committee to explore alternatives. After due diligence, the board determines whether a more advantageous transaction, free of conflict, is reasonably available. If not, the disinterested directors decide by majority vote whether the proposed transaction is in the organization's best interest, benefits the organization, and is fair and reasonable. The board then makes its final decision accordingly. If the board has reasonable cause to believe a member has failed to disclose an actual or potential conflict of interest, he/she should inform the member of the concern and provides an opportunity to respond. After reviewing the response and conducting any necessary investigation, the board determines whether a failure occurred and, if so, takes appropriate disciplinary and corrective action.
