“Wmbc has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, the director of finance reviews the return and emails it to the full board for its review prior to its filing. Afterwards the 990 is filed.”

“The organization currently has in place a conflict of interest policy that applies to any director, officer, or key employee, which it annually monitors and enforces. The board mandates that all members of the governing body annually sign a conflict of interest statement and disclose any potential or actual conflicts that may exist. Any director, officer or key employee who has an interest in a related party transaction must disclose in good faith to the board of directors the material facts concerning such interest. Individual whose potential conflict is under view may not debate, vote, or otherwise participate in the determination in rather a conflict of interest exists.
