Epilepsy foundation los angeles is a champion and voice for individuals and families living with epilepsy. We enhance lives by offering programs that foster a supportive community, increasing access to specialty treatment and resources, and generating greater awareness and understanding of epilepsy. United in the mission of our epilepsy foundation network, the epilepsy foundation los angeles improves the lives of people affected by epilepsy through education, advocacy, research, and connection.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors may, by resolution adopted by a majority of the directors then in office, designate one or more committees, each constituted of two or more directors, to serve at the pleasure of the board. Any committee, to the extent provided in the resolution of the board, shall have all the authority of the board, except that no committee, regardless of board resolution, may: (1) take any final action on matters that, under the nonprofit corporation law of california, also requires members' approval or approval of the outstanding shares; (2) fill vacancies on the board of directors or in any committee; (3) fix compensation of the directors for serving on the board or on any committee; (4) amend or repeal bylaws or adopt new bylaws; (5) amend or repeal any resolution of the board of directors which by its express terms is not so amendable or repealable; (6) appoint any other committees of the board of directors or the members of these committees; (7) approve any transaction (1) to which the corporation is a party and one or more directors have a material financial interest; or (2) between the corporation and one or more of its directors or between the corporation or any person in which one or more of its directors have a material financial interest.

The tax return is reviewed by the finance director and approved by the finance committee prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All directors and officers, with a direct or indirect conflicting interest, including any financial interest, are required to comply with the conflict of interest policy and complete an annual statement reporting any potential conflicts. The conflict of interest policy is included within the efla employee handbook and employees sign an annual receipt of handbook acknowledging compliance with efla policies. All board members are required to disclose any relationships, direct or indirect (an immediate family member's relationship), which they may have with outside entities that are pertinent to the subject matter in which they are involved while serving on board of the foundation. Whenever such relationship may create an actual or perceived conflict of interest relevant to a matter requiring action by the bod or pab committee, the interested person shall fully disclose the nature of the relationship and shall thereafter refrain from influencing or participating in any discussions or voting thereon. If a conflict of interest is determined to exist or if a board member fails to report a discovered conflict of interest, the executive committee of the board will meet to determine how the nature of the conflict could jeopardize the integrity of the organization. The recommendation of the executive committee would then be given to the full board of directors, including but not limited to abstain from vote, remedy of the conflict and board resignation. The individual would not be present in these meetings.

Form 990, Part VI, Section B, Line 15A

The annual process for determining compensation of the organization's executive director includes review and approval by the executive committee, use of comparability data and contemporaneous documentation of the deliberation and decision. The executive committee of the board review the ceo's salary and sets it. They also perform an annual performance review of the executive director and determine if a bonus is earned. This process was last completed in 2024 and is done annually as part of the budget process.
