“The organization transition to an outsourced arrangement for its finance function and hired a Chief Operating Officer to oversee the accounting contractor and other operational areas. During the transition, check signing responsbilities were delegated to the accounting contractor and another management services contractor. Check signing responsibility for each was subject to the authorization of the Executive Director in each instance.”

“The following By-Laws were changed in March 2023 Article I General, Section 2 was revised to reflect the address of the Organizations current principal office. Articel III Directors, Section 2 paragraphs 3 and 4 changed the start date of Directors terms from January 1 to July 1, formalized the staggered classes, established a 3 term limit for service requiring at least a one-year break thereafter before a director could be reelected to the Board, and provided discretion for the Board to extend the term of any officer in the best interests of the Corporation. Article III Directors, Section 5, last paragraph assigns responsibility for nominating directors to the Governance Committee. Article IV Officers, Section 1, substitutes the Governance Committee for the Nominating Commitee as the committee that may present a slate of officer candidates.”

“Form 990 is prepared in draft form and reviewed with management and circulated to the Board for additional review and comment. Once any requested changes are made and the return is finalized and approved it is filed.”

“The Organization has a conflict of interest policy that is circulated annually to Board Members and officer to review and disclose any potential conflicts of interest and to attest that they are in compliance The Organization has representatives on its Board that are employed by businesses that provide, among other services, banking, health insurance and executive coaching to the Organization or providers of those services to the Organization. These relationships are disclosed to the governance committee which monitors compliance with the conflict of interest policies. These businesses contract with the organization or the individuals on the same or substantially similar terms that are available to other customers or contractors.”

“Compensation for the CEO is determined by the board. The organization employed an independent compensation consultant to review industry data and assist with the process. The CEOs compensation is spelled out in a written employment agreement that was approved by the Board.”

“Compensation for members of senior management is determined by the CEO and the HR & Compensation Committee with assistance from the independent compensation consultant retained by the Organization. The CEO makes a recommendation to the HR & Compensation Committee. The HR & Compensation Committee reports the recommendation to the Board Executive Committee for action upon that recommendation.”

“The Organizations IRS Forms 1023 and annual 990 are available for inspection upon request at the organizations principal place of business during its normal business hours. The Organizations 990 may also be available online from public sources such as Guidestar.org. Other Organization documents - Articles of incorporation, bylaws, audited financial statements and conflict of interest policy are available on the same basis.”
