Because of the interrelated nature of the filing organization with alphapointe, reinhard mabry, jeff lynch, sheila seck, and trent grissom have a business relationship.”

“The members of the board of directors of alphapointe are the members of rightfully sewn inc.”

“The members appoint the board of directors, a minimum of three must also be members of the board of directors of alphapointe.”

“The members have the right to vote and approve any amendments to the bylaws of rightfully sewn inc.”

“An independent accounting firm prepares and reviews the 990. The 990 is then reviewed by the organization's officers and accounting personnel. Any questions or concerns the organization's officers and accounting personnel have are addressed and any corrections or clarifications that need to be made are made. A copy of the 990 is then presented to the audit committee for review and approval prior to filing. The audit committee reports directly to the board of directors on the status of their review. A final copy is also made available to the board of directors following review by the audit committee.”

“Each director shall disclose annually if the director has a personal interest directly or indirectly, in any contract relating to the operations of rightfully sewn inc, or in any contract for investment, legal, accounting, banking and any other services officers, trustees, and key employees are required to disclose any conflicts of interst when they arise and are properly withheld from any discussion or decision making that may be affected by the disclosed conflicts.”
