“In advance of filing, the Executive Director shall provide a complete copy of the Form 990 draft to the Board President and members of the Finance Committee, including the Board Treasurer for review. The designated reviewers-Board President and Finance Committee members-shall review key sections of the Form 990 to confirm that they accurately reflect the organization's operations, finances, and governance. The review shall include confirmation of the accuracy of revenue, expenses, assets, liabilities, and expense allocations as reported on the Form 990; confirmation of the accuracy of governance policies, including the Conflict of Interest Policy and Executive Compensation Approval Policy, as reported on the Form 990; confirmation of the accuracy of the description of the organization's mission and programs as reported on the Form 990.Any questions or concerns regarding the drafted Form 990 shall be presented to and addressed by the Executive Director well in advance of filing. The review of the Form 990 shall be documented and made available to the entire Board of Directors via the shared Board folder.”

“Each director, officer, or other "key person" of Hear Your Song shall annually sign a statement identifying any potential conflicts of interest and affirming that such person: a. Has received a copy of the conflict of interest policy; b. Has read and understood the policy; c. Has agreed to comply with the policy; and d. Understands that Hear Your Song is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.”

“The Executive Director of Hear Your Song is the principal representative of Hear Your Song, and the person responsible for the efficient operation of the Nonprofit. Therefore, it is the desire of the Nonprofit to provide a fair, yet reasonable and not excessive compensation for the Executive Director. The annual process for determining compensation is as follows: The Board President and Governance Committee shall annually evaluate the Executive Director on their performance, and ask for their input on matters of performance and compensation. Board Approval: The Board President and Governance Committee will obtain research and information to make a recommendation to the full board for the compensation of the Executive Director based on a review of comparability data. For example, they will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following:Salary and benefit compensation studies by independent sources; Written job offers for positions at similar organizations; Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and Information obtained from the IRS Form 990 filings of similar organizations. Concurrent Documentation: To approve the compensation for the Executive Director the board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: a) A description of the compensation and benefits and the date it was approved; b) The members of the board who were present during the discussion about compensation and benefits, and the results of the vote; c) A description of the comparability data relied upon and how the data was obtained; and d)Any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits. Independence in Setting Compensation: The President of the board of directors, who is a volunteer and not compensated by the Nonprofit, will operate independently without undue influence from the Executive Director. No member of the Governance Committee will be a staff member, the relative of a staff member, or have any relationship with staff that could present a conflict of interest.”
