Cooper park development company is organized and shall be operated exclusively for charitable, religious, literary, scientific, and educational purposes set forth in section 501(c)(3) of the internal revenue code of 1986, as amended. B. More specifically, the company is a "supporting organization" as said term is defined in section 509(a)(3) of the code. The supported organization is the knox county land reutilization company, a non-profit company exempt from taxation under section 501(c)(3) of the code and not a private foundation pursuant to section 509(a)(1) of the code. The company shall be organized and operated to conduct and support the supported organization's exempt purposes.

Cooper park development company, inc. (cpdc) is an organization which provides assistance to the knox county land reutilization corporation, inc., to support the economic development, maintenance, management, and marketing of cooper progress park in mount vernon, ohio which is owned and/or leased by the knox county land reutilization corporation, inc., a 501(c)(3) and quasi-governmental entity established by the ohio revised code chapter 5722. Cpdc's activities will be conducted by its officers, directors, and staff. Additionally cpdc's board has been established to comport with the irs's best practice standards for nonprofit governance. Cpdc anticipates that its directors will make solicitations on its behalf and does not plan to engage outside professional fundraising firms or seek any loans from other non-profit organizations or banks. Cpdc will focus its charitable purposes in the city of mount vernon, knox county, ohio. 90% of cpdc's time is devoted to operations and 10% is allocated to general administrative matters. Cpdc will primarily be funded by the funds and resources provided to it by the knox county land reutilization corporation, inc.the sole focus, and 100% of cpdc's focus, will be related to supporting the economic development of blighted property known as cooper progress park in mount vernon, knox county, ohio which is owned and/or under the direct control of the knox county land reutilization corporation, inc., a 501(c)(3).

(CPDC) IS AN ORGANIZATION WHICH PROVIDES ASSISTANCE TO THE KNOX COUNTY LAND REUTILIZATION CORPORATION, INC., TO SUPPORT THE ECONOMIC DEVELOPMENT, MAINTENANCE, MANAGEMENT, AND MARKETING OF COOPER PROGRESS PARK IN MOUNT VERNON, OHIO WHICH IS OWNED AND/OR LEASED BY THE KNOX COUNTY LAND REUTILIZATION CORPORATION, INC., A 501(C)(3) AND QUASI-GOVERNMENTAL ENTITY ESTABLISHED BY THE OHIO REVISED CODE CHAPTER 5722. CPDC'S ACTIVITIES WILL BE CONDUCTED BY ITS OFFICERS, DIRECTORS, AND STAFF. ADDITIONALLY CPDC'S BOARD HAS BEEN ESTABLISHED TO COMPORT WITH THE IRS'S BEST PRACTICE STANDARDS FOR NONPROFIT GOVERNANCE. CPDC ANTICIPATES THAT ITS DIRECTORS WILL MAKE SOLICITATIONS ON ITS BEHALF AND DOES NOT PLAN TO ENGAGE OUTSIDE PROFESSIONAL FUNDRAISING FIRMS OR SEEK ANY LOANS FROM OTHER NON-PROFIT ORGANIZATIONS OR BANKS. CPDC WILL FOCUS ITS CHARITABLE PURPOSES IN THE CITY OF MOUNT VERNON, KNOX COUNTY, OHIO. 90% OF CPDC'S TIME IS DEVOTED TO OPERATIONS AND 10% IS ALLOCATED TO GENERAL ADMINISTRATIVE MATTERS. CPDC WILL PRIMARILY BE FUNDED BY THE FUNDS AND RESOURCES PROVIDED TO IT BY THE KNOX COUNTY LAND REUTILIZATION CORPORATION, INC.THE SOLE FOCUS, AND 100% OF CPDC'S FOCUS, WILL BE RELATED TO SUPPORTING THE ECONOMIC DEVELOPMENT OF BLIGHTED PROPERTY KNOWN AS COOPER PROGRESS PARK IN MOUNT VERNON, KNOX COUNTY, OHIO WHICH IS OWNED AND/OR UNDER THE DIRECT CONTROL OF THE KNOX COUNTY LAND REUTILIZATION CORPORATION, INC., A 501(C)(3).
