“The 990 will be distributed to board members for review upon completion. Board review, comments and oversight will take place at the next regularly scheduled official board meeting.”

“A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Responsible persons with a material financial interest in a business or activity that desires to offer services to missions of hope members must disclose such interest and relationship to the board of directors. Such responsible person shall not be able to take action or engage in activities that use their position as responsible persons to any advantage over any other business engaging with missions of hope.”

“It is the policy of missions of hope international that all compensation paid by the organization is reasonable based upon a review of the comparability information. The standard of reasonableness will be applied by the organization to all employees and compensation paid for all workers and any services. This policy provides a procedure for the review and approval of the compensation of the officers, directors, trustees, ceo, executive director or top management official, and key employees of the organization consistent with applicable federal and state tax laws.”

“Recognition of exemption and annual information returns available upon request without charge except for a nominal fee for reproduction and actual postage costs. Annual information returns will be available for three years after filing.”

“If the governing documents and conflict of interest policy of the organization are subject to federal or state public disclosure rules, these documents will be made publicly available as applicable law may require. Otherwise, the governing documents and conflict of interest policy will be provided to the public at the discretion of management.”
