ReasonableCauseExplanation/ExplanationTxt0To Whom It May Concern: We respectfully submit this statement as a reasonable cause explanation in connection with the late filing of our Form 990-EZ return. We are requesting relief from the associated penalties under IRC §6652(c)(1)(A). The return was filed late due to circumstances beyond our control, specifically delays in the official confirmation of our organization's dissolution. As part of the dissolution process, we were required to obtain approval of the Articles of Dissolution (Form DNP-6) from the Office of the Attorney General. Unfortunately, this approval was delayed significantly due to unexpected and sustained technical issues on the Attorney General's website. These malfunctions rendered the portal inoperative for several weeks, preventing us from submitting or receiving confirmation of our dissolution documents in a timely manner. We acted in good faith and made diligent efforts to comply with all filing requirements. However, because final dissolution approval is a critical legal prerequisite for filing the final return and appropriately marking it as such, we were unable to proceed with filing until we received the necessary confirmation. We believed it would be inaccurate or potentially misleading to submit a final return without official documentation verifying the dissolution had been recognized by the appropriate authority. Upon receiving confirmation of our dissolution, we filed the return as promptly as possible. We emphasize that the delay was not due to willful neglect but was caused by factors outside of our organization's control. Furthermore, as a nonprofit entity, we do not have significant assets, and any penalties assessed would impose an undue burden on our already limited resources. For these reasons, we respectfully request abatement of any penalties associated with the late filing. We have made every reasonable effort to remain compliant and transparent and believe this explanation demonstrates reasonable cause as outlined under the Internal Revenue Code and applicable Treasury Regulations.
