“The Alliance accounts for uncertain tax positions in accordance with the Accounting for Uncertain Tax Positions Topic of the Financial Accounting Standards Board ("FASB") Accounting Standards Codification ("ASC"). The topic prescribes a recognition threshold and measurement process for financial statement recognition of uncertain tax positions taken or expected to be taken in a tax return. The topic also provides guidance on recognition, de-recognition, classification, interest and penalties, accounting in interim periods, disclosure and transition. Management believes there are no uncertain tax positions taken by the Alliance in the tax returns which have been filed with the IRS. Generally, the Alliance's tax returns remain open to examination for three years from the date of filing.”
