Governance Explanations

01. Form 990 governing body review (Part VI, line 11)

Upon the completion the Board of Directors review the return for correctness and reasonableness.

02. Form 990 CEO, executive director, top management comp (Part VI, line 15A)

The Board of Directors reviews the salary of the Executive Director annually and compares with other marketable salaries in the area.

03. Form 990 Governing documents, etc, available to public (Part VI, line 19)

The Board of Directors vet each member annually to determine if there is no conflict of interest. The availability of the governing body documents are available upon request by mail or upon completion of the Form 990. The Board of Directors review the Form 990 before submission for compliance and reasonability

05. Form 990 Part VI Governance Management and Disclosure Part IV Section B Line 12A 12B Policies

Bylaws include a written conflict of interest policy Article VII. Officers or board members must disclose when their financial interests could give rise to a conflict. The process includes disclosure, recusal from voting board investigation and documentation in minutes. Annual statements from directors and officers affirm receipt understanding and compliance with the policy. The policy includes periodic reviews of compensation arrangments and other transactions.

Written Whistleblower Policy no separate standalone whistleblower policy exists. Our Employee Handbook includes a Compliance and Ethics and antiretaliation protections under the Code of Conduct which serve the functional purpose of a whistleblower mechanism

07. Form 990 Part VI Governance Management and Disclosure Part IV Section B Line 14 Policies

Written Document Retention and Destruction Policy separate standalone document retention and destruction policy is in place by our Employee Handbooks, which contains a Records and Reports section that states that all records must be kept so that an accurate auditable record of transactions is maintained and that records must be retained in accordance with any applicable records management policy and or schedule.

08. Form 990 Part VI Governance Management and Disclosure Part IV Section B Line 15 and 15A Policies

Compensation Process for CEO Executive Director Top Management and Other Key Employees. Our bylaws Article VII Section and required periodic reviews of compensation arrangements. Whether compensation arrangements and benefits are reasonable and based on competent survey information and arms length bargaining. Whether any joint ventures or arrangements with management organizations conform to written policies are properly recorded reflect reasonable payments for goods and services and do not result in inurement or excess benefit transactions. Within our organization all staff including officers and key employees are paid an hourly rate of 25 per hour as noted in our prior correspondence. The board reviews compensation periodically and ensures there is comparability and fairness across roles
