Governance Explanations

Form 990, Part VI, Section B, Line 11B

Board members are sent a draft of the Form 990 and related schedules and asked to review the draft before it is finalized.

Form 990, Part VI, Section B, Line 12C

SVDG has a written Code of Conduct that all SVDG officers and advisors sign. The code requires that people self-remove themselves during any potential conflict of interest situations. In addition, when SVDG proposes possible sponsorship or donation opportunities, the organization asks each officer to remove themselves if there is a conflict of interest. As for monitoring: SVDG regularly follows industry press and data sources such as PitchBook, Inside Defense, and Crunchbase to identify potential conflict-of-interest situations.

Form 990, Part VI, Section B, Line 15

In 2024, the SVDG Board of Directors conducted a thorough review to establish appropriate compensation for our Executive Director. The Board implemented a multi-step evaluation process that included: 1. Comparative Analysis: We identified local nonprofit organizations with similar size, scope, and mission within our region. 2. Market Research: We collected compensation data from publicly available Form 990s of comparable organizations and utilized the comprehensive Virginia Nonprofit Sector Report's regional salary survey. 3. Benchmarking: Based on this research, we established a competitive compensation range of $190,000-$260,000 for the Executive Director position. 4. Individual Assessment: The Board evaluated our Executive Director's specific qualifications, experience, performance metrics, and leadership contributions. 5. Financial Consideration: We balanced competitive compensation with our organization's financial position. The Board documented this deliberative process and approved a compensation package that falls within the established market range, appropriately valuing executive leadership while demonstrating fiscal responsibility. This process was last undertaken for the Executive Director position in 2024.

Form 990, Part VI, Section C, Line 19

SVDG makes its governing documents, conflict of interest policy, and financial statements available to the public on written request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0Board members are sent a draft of the Form 990 and related schedules and asked to review the draft before it is finalized.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1SVDG has a written Code of Conduct that all SVDG officers and advisors sign.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2In 2024, the SVDG Board of Directors conducted a thorough review to establish appropriate compensation for our Executive Director.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3SVDG makes its governing documents, conflict of interest policy, and financial statements available to the public on written request.
