Virginia Commonwealth University Health System Authority is the sole member of the Virginia Children's Care Network LLC.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Virginia Commonwealth University Health System Authority has the right to appoint, elect or remove the members of the board of directors of the organization.

The organization may not alter, nor make changes to the organization's structure, including merge, dissolve or liquidate, amend or repeal its bylaws without approval of the board of directors of virginia commonwealth university health system authority.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The form 990 is prepared by the finance department of vcuhsa and reviewed by an independent accounting firm. The firm prepares the form 990 for review. The form 990 is reviewed with the appropriate executive director and/or finance leader of the organization. Upon final review with leadership, the governing body of the organization is provided with a copy of the return prior to filing with the irs.

Form 990, Part VI, Line 12C Conflict of interest policy

Vcu health system (vcuhs) has a conflict of interest policy that requires annual as well as ad hoc dislcosure of actual or potential conflicts. This policy applies to all team members with additional named responsibilities for those in a "position of trust" as defined by policy, or those key employees reported on internal revenue service (irs) form 990. Vcuhs is required to participate in the commonwealth's statement of economic interest process (soei). Vcuhs' participation in this process is mandated by the enabling legislation for vcuhs. Participation is required as stated above for those in a "position of trust". Additionally, employees are encouraged to contact the compliance helpline if they are aware of any violations of health system policy or have any compliance concerns. All concerns reported via this venue are investigated and appropriate remediation is implemented. When a voting board member has a conflict, the individual is prohibited from participating in the governing body's deliberations and decisions related to the conflicting transaction. In addition, any conflicted individuals are required to recuse themselves from any sourcing decisions related to their interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

For fiscal year ending june 30, 2024, compensation (salaries and incentives) for the ceo, executive director or the top management official of the filing organization, is approved by the ceo of the health system. The organization uses a third party compensation consulting firm to conduct a market study to determine market position. The organization may also conduct a 360 degree evaluation of all senior level administrators. These data elements in conjunction with a review of the individual's performance and the attainment of goals for the year, are the basis for compensation recommendations. The compensation committee of the vcuhs board of directors discusses the matter and presents recommendations to the ceo of the health system.
