The ecp foundation is dedicated to giving back through grants to individuals experiencing hardship and through grants to other tax-exempt public charities.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

Ecp foundation engages a public accounting firm to prepare and review the form 990. The 990 is provided to certain members of its governing body who keep the organization's records for their review. Each one of those areas has an opportunity to review, ask questions, and make comments back to the public accounting firm before the form 990 is completed and presented to the governing body of the entity. The entity makes available to the governing body (board of directors) a copy of the 990 for review and comment prior to the filing of the 990 return.

Form 990, Part VI, Section B, Line 12C

Directors and officers are required to complete a conflict of interest disclosure form which is annually reviewed by management and outside legal counsel if necessary. If any officer, director or committee member is considered to have conflict of interest, they should give the board notice of such interest or relationship and shall thereafter refrain from voting or otherwise attempting to exert any influence on the foundation to affect its decision to participate or not participate in such transaction. The interested officer, director or committee member shall leave any meeting during any discussion of a matter in which such individual is considered to have a conflict of interest.
