Zufall health center, inc.; a related internal revenue code section 501(c)(3) tax-exempt organization pays all outstanding accounts payable invoices on behalf of this organization. In conjunction with this service, zufall health center, inc. Also prepares and issues forms 1099 to these vendors receiving payments where applicable and files these forms 1099 with the irs. Zufall health center, inc. Allocates these payments to the organization via an intercompany account. In addition, this organization's form 990 reflects no compensated individuals from this entity. The organization is an affiliate within zufall health; a tax-exempt integrated healthcare delivery system ("system"). Zufall health center, inc. Is the tax-exempt parent entity of the system. The organization's federal form 990 was provided to each voting member of the governing body (its board of trustees) prior to filing with the internal revenue service ("irs"). As part of the tax return preparation process the organization hired a professional certified public accounting ("cpa") firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the organization's finance personnel and various other individuals of the organization ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the organization's internal working group for their review. The organization's internal working group reviewed the draft federal from 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the organization's internal working group for final review and approval prior to providing the federal form 990 to the organization's board of trustees and filing with the irs.

The organization is an affiliate within zufall health; a tax-exempt integrated healthcare delivery system ("system"). Zufall health center, inc. Is the tax-exempt parent entity of the system. The system currently has in place a conflict-of-interest policy which it regularly monitors and enforces. The board mandates that all members of management and the governing body annually sign a conflict-of-interest policy and disclose any potential or actual conflicts that may exist. If a potential or actual conflict of interest exists, governing body and management will investigate the issue. If a conflict of interest is determined to exist, management and the governing body will be notified immediately. The member will not be allowed to vote or be a part of any decisions about any such transactions that have to do with the conflict until such time that there is no longer a conflict.

The organization is an affiliate within zufall health; a tax-exempt integrated healthcare delivery system ("system"). Zufall health center, inc. Is the tax-exempt parent entity of the system. Compensation at zufall health center takes into consideration the compensation paid for other similar positions in the market place as well as general performance of the employee and the current financial capacity of the organization. Each year the board of trustees conducts a performance review of the president/chief system's executive officer ("ceo") and sets the ceo's salary. When establishing the salary, the board reviews compensation surveys conducted by the new jersey health centers to ensure that the system's ceo's compensation is consistent with state and national benchmarks. Similarly, the ceo takes into account those same compensation surveys as the ceo sets the compensation for certain other officers and key employees.

THE FOUNDATION IS A NOT-FOR-PROFIT ORGANIZATION THAT IS EXEMPT FROM INCOME TAXES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE AND CLASSIFIED BY THE INTERNAL REVENUE SERVICE AS OTHER THAN A PRIVATE FOUNDATION. THE FOUNDATION IS ALSO EXEMPT UNDER TITLE 15 OF THE STATE OF NEW JERSEY CORPORATIONS AND ORGANIZATIONS NOT-FOR-PROFIT ACT. ACCORDINGLY, NO PROVISION FOR FEDERAL OR STATE INCOME TAX HAS BEEN PRESENTED IN THE ORGANIZATION'S FINANCIAL STATEMENTS. THE FOUNDATION FOLLOWS THE PROVISIONS OF FASB's ASC INCOME TAXES. THE STANDARD PRESCRIBES A MINIMUM RECOGNITION THRESHOLD AND MEASUREMENT METHODOLOGY THAT A TAX POSITION TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN IS REQUIRED TO MEET BEFORE BEING RECOGNIZED IN THE FINANCIAL STATEMENTS. IT ALSO PROVIDES GUIDANCE FOR DERECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES, ACCOUNTING IN INTERIM PERIODS, DISCLOSURE, AND TRANSITION AS THEY RELATE TO THOSE TAX POSITIONS. THE FOUNDATION IS ALSO EXEMPT UNDER TITLE 15 OF THE STATE OF NEW JERSEY CORPORATIONS AND ORGANIZATIONS NOT-FOR-PROFIT ACT. ACCORDINGLY, NO PROVISION FOR FEDERAL OR STATE INCOME TAX HAS BEEN PRESENTED IN THE ORGANIZATION'S FINANCIAL STATEMENTS. THE FOUNDATION FOLLOWS THE PROVISIONS OF FASB's ASC INCOME TAXES. THE STANDARD PRESCRIBES A MINIMUM RECOGNITION THRESHOLD AND MEASUREMENT METHODOLOGY THAT A TAX POSITION TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN IS REQUIRED TO MEET BEFORE BEING RECOGNIZED IN THE FINANCIAL STATEMENTS. IT ALSO PROVIDES GUIDANCE FOR DERECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES, ACCOUNTING IN INTERIM PERIODS, DISCLOSURE, AND TRANSITION AS THEY RELATE TO THOSE TAX POSITIONS. THE FOUNDATION BELIEVES THAT IT HAS APPROPRIATE SUPPORT FOR THE POSITIONS TAKEN ON ITS TAX RETURNS AND ACCORDINGLY, HAS NOT RECORDED ANY TAX PROVISION FOR THE YEAR ENDED DECEMBER 31, 2024.
