Governance Explanations

Form 990, Part VI, Line 15 A&B

The board reviews the ceo's performance and compensation annually. Each board member completes an evaluation for discussion. Survey data is also provided by the director of human resources. The board discusses the performance of the ceo based on the evaluations and approves an adjustment to pay effective on the ceo's anniversary date. During fiscal year 2023, there was a change in the ceo position. The board and human resources were involved in the review and approval of the new ceo's compensation. Annual perforamnce evaluations are completed for mrmc employees by the employee's direct supervisor. This includes the chief financial officer and the chief nursing officer who were evaluated by the ceo during the fiscal year 2023. Compensation was adjusted based on performance and review of survey data provided by the human resources director for each position.

Each year, board members are provided with and sign a conflict of interest statement to disclose any actual or possible conflicts of interest. It also affirms that they have received a copy of the confilcts of interest policy, have read and understand the policy, have agreed to comply with the policy, and understand that the hospital is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. INDIVIDUALS WHO MEET OUR CHARITY CARE GUIDELINES CAN QUALITY FOR FREE OR DISCOUNTED CARE. DURING FY2024, PROVIDED DISCOUNTED SERVICES OF $1,705,966. IN ADDITION TO UNCOMPENSATED COSTS, MRMC COMMITS SIGNFICANT TIME AND RESOURCES TO ENDEAVORS AND CRITICAL SERVICES THAT MEET OTHERWISE UNFILLED COMMUNITY NEEDS. MANY OF THESE ACTIVITIES ARE SPONSORED WITH THE KNOWLEDGE THAT THEY WILL NOT BE SELF-SUPPORTING OR FINANCIALLY VIABLE. SUCH PROGRAMS INCLUDE HEALTH SCREENINGS AND ASSESSMENTS, COMMUNITY EDUCATIONAL SERVICES AND VARIOUS SUPPORT GROUPS. CARE GUIDELINES CAN QUALITY FOR FREE OR DISCOUNTED CARE.
