Mission

Help-new mexico inc. Exists to create self-sufficiency and promote economic opportunities to strengthen families throughout new mexico. Activities in workforce development include implementing programs such as work experience, on -the-job training, classroom training, etc.

Help-new mexico, inc.'s purpose are to raise the economic levels of underprivileged, low income residents and farm workers in the state of new mexico by facilitating educational and employment opportunities and through providing supportive and emergency services.

Governance Explanations

Form 990, Part VI, Section A, Line 1

Executive committee: the officers of the board and one at large member of the board shall serve as the executive committee of the board. Unless limited by a resolution of the board, the executive committee shall have the authority of the board between meetings of the board, provided, however, that the executive committee shall not have the authority of the board in reference to those matters enumerated in section 9.03. The secretary of the corporation shall send to each director a report that summarizes the business conducted at each meeting of the executive committee. (1) the executive committee shall be responsible for providing continuity in leadership through frequent communication, previewing controversial policy issues and vetting major matters prior to the full board's consideration, and assuring a longer-term, strategic perspective for the corporation. (2) the executive committee shall consist of the chair, the vice chair, the secretary, the treasurer, and one additional member elected by the board at the annual meeting. The immediate past chairperson shall continue to serve as a member of the executive committee for one year from the date he or she leaves the office of chairperson, unless he or she was removed for cause. The immediate past chairperson shall have the same responsibilities, voting privileges, and other rights as the other executive committee members. In selecting the one additional member of the executive committee, the board shall make every possible effort to effectuate appropriate geographical representation. (3) service on the executive committee shall be limited to three years subject per the election of officers. This term limitation will be waived for a director while serving in the position of chairperson. The chairperson will be permitted to serve up to three years in that position plus one year as immediate past chairperson, up to a total of four consecutive years. Where a board member is named to the executive committee to fill an unexpired term partway through the year, this partial term may be served in addition to three full years on the executive committee. (4) each member of the executive committee shall be entitled to one vote and may not vote by proxy. (5) a majority of the executive committee shall constitute a quorum for carrying on the business of the executive committee. A meeting at which a quorum is initially present may continue to transact business notwithstanding the departure of executive committee members from that meeting. (6) the executive committee may designate any place as the place of its meeting. The executive committee or its chairperson shall set the date and place of the following executive committee meeting during the course of each meeting. The chairperson may call special meetings of the executive committee on 10 days written notice to all members of the committee.

Once the draft is available, it is reviewed by management and any changes incorporated into the filing. Once this detailed review is complete, the draft of the form 990 is presented to the board of directors for their review and comments prior to filing with the irs.

All boards and commissions at help-nm have an annual review and signature confirmation of the agency's conflict of interest policy. In the help new mexico, inc. Employee policy manual, policy 808 is the conflict of interest policy as revised on july 1, 2019. Each employee receives a manual and in addition is given an acknowledgment form separate from the employee policy manual acknowledgment form to sign and return to the human resource department. These forms are kept in each employee's personnel file. During new hire orientation, this policy is fully explained to the employees. In addition, the help new mexico, inc. Board of directors receives a copy of the policy and signs an acknowledgement form annually. This form is filed in the individual board members file maintained by the human resource department.

The help new mexico, inc. Board of directors reviews and approves the compensation for the ceo. Various sources have been used to get comparability data, including salary.com, the society for human resource management (shrm), charles lehman, o*net online, caplaw, national council of non profits, guidestar and jw educational services and consulting. The decision on the compensation for the chief executive officer is documented in the board of director's meeting minutes as well as a personnel action form, which is prepared by the human resource department once the decision has been determined. For other officers and key employees, the chief executive officer sets the scale for salaries and submits the compensation proposal to the help new mexico, inc. Board of directors for their final approval. PART X, LINE 2:

Help-nm is exempt from income taxes under section 501(c)(3) of the internal revenue code, and has been classified by the internal revenue service as an organization that is not a private foundation. Help-nm regularly evaluates activities as it relates to its tax-exempt status. If help-nm activities are determined to be outside of its tax-exempt status the potential exists for tax liabilities on those unrelated activities. The organization would recognize interest accrued related to unrecognized tax benefits in interest expense and penalties in operating expenses. There was no such interest or penalties recorded for the year ended june 30, 2019. The organization's income tax filings are subject to audit by various taxing authorities. The organization believes there are no uncertain tax positions at june 30, 2019.
