The joint finance and executive committee is chaired by the vice chairman of the board of directors. In the absence of the vice chairman, the chairman of the board or secretary of the board shall chair the committee in that order. The composition of the joint finance and executive committee shall be determined by the board of directors at the annual meeting. The powers and responsibilities of the committee shall include: screen board business and make recommendations for approval in order to enable the full board to effectively utilize its discussion time; exercise emergency powers in extraordinary circumstances and make decisions otherwise reserved to the board of directors when the board is not in session; exercise the power and authority to transact corporation business that requires immediate action; serve as the audit committee for the corporation; serve as the ethics committee for the corporation and be primarily responsible for implementing the conflicts of interest policy of the corporation; review and make recommendations to the board of directors concerning the performance, competence and terms of employment of the chief executive officer; and act in such other situations and capacities as the board of directors may designate or specify.

Complete rx manages the pharmacy departments. X-ray associates of new mexico manages the medical center's outpatient imaging center, of which the hospital owns 29.8%. Alamogordo surgery ventures, llc, manages the medical center's outpatient surgery center, of which the hospital owns 57%.

The amendments fundamentally modernize and reorganize the corporation's framework by introducing a registered office and a comprehensive definitions section that clarifies relationships - most notably linking the organization to christus health. The purposes are significantly expanded from merely operating an acute care hospital to promoting a broader charitable, scientific, educational, and explicitly religious mission aligned with the health care ministries under the catholic tradition. In tandem with these changes, the governance structure has been overhauled: christus health is now established as the sole member with centralized authority, the board's composition has been adjusted for greater flexibility, and new standards of conduct along with limitations on directors' liability have been introduced. Additionally, the dissolution and amendment procedures have been revised to ensure that any remaining assets and future modifications are managed in accordance with the updated mission and legal requirements.

PART X, LINE 2:

The authoritative guidance in asc 740, income taxes, creates a single model to address uncertainty in tax positions and clarifies the accounting for income taxes by perscribing the minimum recognition threshold a tax postion is required to meet before being recognized in the financial statements. Under the requirements of this guidance, tax-exempt organizations could be required to record an obligation as the result of a tax position they have historically taken on various tax exposure items. Christus has interests in various taxable entities, including investments in mexico, chile, and columbia. These interests may be give rise to u.s. And international tax exposures. Christus intends to utilize foreign earnings in foreign operations for an indefinite period of time in order to continue investing all earnings into the continued maintenance and expansion of these operations abroad as part of the system's mission. If these amounts were distributed to the united states, in the form of dividends or otherwise, the system could be subject to additional u.s. Income taxes. Determination of the amount of unrecognized deferred income tax liabilities on these earnings is not practicable because such liability, if any, depends on circumstances existing if and when remittance occurs. There are no material unrecorded tax liabilities as of june 30, 2024 or 2023.

IRS990/Desc0OTERO COUNTY HOSPITAL ASSOCIATION, D/B/A CHRISTUS SOUTHERN NEW MEXICO (CSNM), PREVIOUSLY GERALD CHAMPION REGIONAL MEDICAL CENTER, PROVIDES COMPREHENSIVE HEALTH-CARE SERVICES THROUGH ITS 98-BED HOSPITAL, OUTPATIENT AMBULATORY CARE FACILITIES, AND A MULTI-SPECIALTY PHYSICIAN GROUP. CSNM RECEIVES 80% OF ITS ADMISSIONS FROM OTERO COUNTY. CSNM'S PRIMARY MARKETS ARE THE CITIES OF ALAMOGORDO AND TULAROSA WITH SECONDARY MARKETS EXPANDING TO MORE REMOTE AREAS OF OTERO COUNTY, LINCOLN COUNTY, CHAVEZ COUNTY, AND BEYOND. THE ORIGINAL FACILITY OPENED IN AUGUST 1949, AND THE CURRENT MEDICAL CENTER IS A STATE-OF-THE-ART ACUTE CARE FACILITY THAT OPENED IN DECEMBER 1999.EFFECTIVE JULY 1, 2023, THE MEDICAL CENTER ENTERED INTO AN AGREEMENT WITH CHRISTUS HEALTH WHEREBY BOTH PARTIES AGREED THAT THE MEDICAL CENTER SHOULD HAVE A SOLE CORPORATE MEMBER AND THAT CHRISTUS HEALTH SHOULD BE THE SOLE CORPORATE MEMBER OF THE MEDICAL CENTER. CHRISTUS HEALTH IS A CATHOLIC, NOT-FOR-PROFIT HEALTH SYSTEM WITH FACILITIES IN TEXAS, LOUISIANA, NEW MEXICO, AND INTERNATIONALLY IN LATIN AMERICA. IN CONNECTION WITH THIS AGREEMENT, CHRISTUS HEALTH CONTRIBUTED $240 MILLION TO THE NEWLY FORMED SACRAMENTO MOUNTAINS FOUNDATION, A NOT-FOR-PROFIT ORGANIZATION CREATED FOR THE PROMOTION OF SOCIAL WELFARE. THE USE OF CHRISTUS HEALTH'S CONTRIBUTION IS RESTRICTED TO CHARITABLE ACTIVITIES IN OTERO COUNTY AND THE SURROUNDING COMMUNITIES.THE ORIGINAL HOSPITAL OPENED IN 1949 WITH 26 BEDS. TODAY, CSNM IS PROUD TO BE A 98-BED ACUTE CARE FACILITY ACCREDITED BY DNV, INCLUDING TWO DISTINCT PPS UNITS: BEHAVIORAL MEDICINE (24 BEDS) AND AN INPATIENT REHABILITATION (12 BEDS) THAT WAS CLOSED IN MAY 2023. CSNM SHARES A UNIQUE RELATIONSHIP WITH HOLLOMAN AIR FORCE BASE AS THE FIRST HOSPITAL IN THE UNITED STATES WHERE ACTIVE-DUTY MILITARY PHYSICIANS PRACTICE IN A CIVILIAN HOSPITAL. THIS SPECIAL ARRANGEMENT ALLOWS ONE FACILITY TO MEET THE COMBINED COMMUNITY AND MILITARY NEEDS, WHILE SERVING AS A MODEL FOR THE DEPARTMENT OF DEFENSE IN CONSERVING RESOURCES.THE DELIVERY MECHANISMS OF CARE AT THE HOSPITAL INCLUDE BOTH INPATIENT AND OUTPATIENT SERVICES; ACUTE CARE INPATIENT THROUGH MEDICAL/SURGICAL, TELEMETRY, MATERNAL CHILD AND 10-BED INTENSIVE CARE UNITS; SURGERY DEPARTMENT SUPPORTED BY PRE-ADMIT, OUTPATIENT CARE UNIT AND POST-ANESTHESIA CARE UNIT; OUTPATIENT SURGERY CENTER; PROVIDER-BASED PHYSICIAN PRACTICES IN THE AREAS OF FAMILY PRACTICE, WOMEN'S SERVICES INCLUDING OBSTETRICS, MEDICAL AND RADIATION ONCOLOGY, MEDICAL CARDIOLOGY, GASTROENTEROLOGY AND ENDOCRINOLOGY, INTERNAL MEDICINE, ORTHOPEDICS, GENERAL SURGERY, PAIN MANAGEMENT AND NEUROLOGY; INPATIENT AND OUTPATIENT BEHAVIORAL HEALTH SERVICES; CARDIAC CATH LAB; INPATIENT REHABILITATION SERVICES, INCLUDING PHYSICAL AND OCCUPATIONAL REHAB SERVICES; INPATIENT AND OUTPATIENT CAP-CERTIFIED LABORATORY SERVICES WITH THE CAPABILITY TO PERFORM OVER 225 DIFFERENT PROFILES AND TESTS IN-HOUSE; INPATIENT AND OUTPATIENT DIAGNOSTIC IMAGING SERVICES, INCLUDING X-RAY, 64-SLICE CT AND PET SCAN, MRI, ULTRASOUND, INTERVENTIONAL RADIOLOGY, RADIOFREQUENCY ABLATION AND NUCLEAR MEDICINE; INPATIENT AND OUTPATIENT COMPREHENSIVE CARDIOPULMONARY SERVICES, INCLUDING BEHAVIOR SLEEP MEDICINE, HOLTER MONITORING, EVENT MONITORING, AND IMPEDANCE CARDIOGRAPHY. BY THE END OF 2024, CSNM EMPLOYED APPROXIMATELY 1,273 PEOPLE. OF THESE EMPLOYEES THERE ARE APPROXIMATELY 216 ACTIVE MEDICAL STAFF MEMBERS, CONSISTING OF 73 EMPLOYED PROVIDERS AND 79 EMPLOYED NURSE PRACTITIONERS, AND 9 INDEPENDENT PHYSICIANS.
