In accordance with the conflict of interest policy, any trustee or other officeholder of the trust must disclose the existence of any actual or possible conflict of interest to a review committee comprised of the uninterested trustees and other holders of the same office. The review committee shall decide and vote upon whether a conflict of interest exists. The review committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the review committee shall determine whether the trust can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. Annually, each trustee and other office holder of the trust shall sign a statement which affirms the person: - has received a copy of the conflict of interest policy - has read and understands the policy - has agreed to comply with the policy - understands the trust is chariable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.
