Form 990, Part VI, Section B, Line 12C

All trustees and employees are required to sign a statement annually disclosing whether or not they are in a position to influence a decision that may result in personal gain or gain for a related party as a result of the business dealings of the organization. Disclosure of business ownership in an entity with which the organization does business is also a required disclosure. Trustees and employees must immediately disclose the existence of any actual or potential conflict of interest to an officer of the organization so that safeguards can be established to protect all parties. If conflicts are determined, the person with the conflict may be excluded from the meeting/decision and will refrain from voting on the matter.

The governance committee of the board of trustees conducts an annual analysis of the executive director's compensation package based on executive performance. The analysis is based on comparable data from other non-profit organizations in the denver metro area as well as on the available funding of the organization. The finance committee/board meets at the end of the year to review the upcoming annual budget, including compensation amount for employees. There are no other officers or key employees in the organization.

Financial Statement Notes

PART III, LINE 1A:

The museum's collections, which were acquired through purchases and contributions, are not recognized as assets in the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired, or as temporarily or permanently restricted net assets if the assets used to purchase the items are restricted by donors. The museum's collections are made up of artifacts of historical significance, scientific specimens, and art objects that are held for educational, research, scientific, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. The collections are subject to a policy that requires proceeds from their sales to be used to acquire other items for collections. Contributed collection items are not reflected in the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes.

PART V, LINE 4:

The museum's endowment consists of a single fund established by donors to provide funding for the major repairs and periodic overhauls of operating steam locomotives. The endowment also includes certain net assets without donor restrictions that have been designated for endowment by the museum's board of trustees.

PART X, LINE 2:

The museum is organized as a colorado nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction, and has been determined not to be a private foundation. The museum is required to annually file a return of organization exempt from income tax (form 990) with the irs. In addition, the museum is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The museum files an exempt organization business income tax return (form 990-t) with the irs to report its unrelated business taxable income.

IT IS DEDICATED TO SHARING COLORADO'S RICH RAILROAD HISTORY THROUGH THE USE OF BOTH SMALL AND LARGE ARTIFACTS, ALONG WITH ARCHIVAL MATERIALS ASSOCIATED WITH RAILROADING IN COLORADO AND THE ROCKY MOUNTAIN REGION. THE MUSEUM'S RESEARCH LIBRARY IS THE SECOND LARGEST OF ITS KIND, AND LIBRARY VOLUNTEERS ARE RECOGNIZED FOR THEIR IN-DEPTH KNOWLEDGE OF WESTERN RAILROADS AND THEIR LINES. AUTHORS OF ALL GENRES MAY BE FOUND RESEARCHING TIMETABLES, PAYROLL RECORDS AND PHOTOGRAPHS FOR THEIR PROJECTS. THE MUSEUM LIBRARY IS ALSO HOME TO AN EXTENSIVE COLLECTION OF RAILROAD RELATED ART, SOME OF IT PAINTED BY WORLD-FAMOUS ARTISTS, AND DONATED TO THE MUSEUM BY DEDICATED COLLECTORS. THIS COLLECTION IS SOMETIMES LOANED TO OTHER INSTITUTIONS IN COLLABORATIVE EFFORTS. SINCE 1961 THE MUSEUM HAS PUBLISHED OVER 50 SCHOLARLY BOOKS AND PAMPHLETS ON THE RAILROADS OF COLORADO AND THE WEST THAT ARE INTERNATIONALLY RECOGNIZED BY HISTORIANS.
