Governance Explanations

FORM 990, PART VI, SECTION A, LINE 6:

THE ORGANIZATION HAS THE FOLLOWING MEMBERSHIP CATEGORIES: (1) Individual members: all collegiate members of the Chapter, any alumna member of the Chapter who remains in good standing with the Fraternity, and any alumna member in good standing of any other chapter of the Fraternity, shall be eligible for membership in the corporation, and (2) The Alpha Chi Omega National Housing Corporation ("NHC") is a member of the organization. ALL MEMBERS IN GOOD STANDING ARE ENTITLED TO ONE VOTE.

FORM 990, PART VI, SECTION A, LINE 7A:

Each member in good standing is eligible to vote on the organization's board of directors. Elections are done on a one member one vote basis.

FORM 990, PART VI, SECTION A, LINE 7B:

AMENDMENTS TO THE ORGANIZATION'S BYLAWS REQUIRE APPROVAL FROM THE MEMBERSHIP BODY. Additionally, approval from the nhc member must be received for the following transactions: (1) to sell, mortgage, pledge, exchange, rent, or otherwise dispose of any of the organization's property, real or personal, and (2) to purchase, lease, and otherwise acquire property, real and personal.

FORM 990, PART VI, SECTION B, LINE 11:

The treasurer of the organization distributes a pdf copy of the 990 return to all board members for review and comment prior to being filed.

FORM 990, PART VI, SECTION B, LINE 12C:

At each board meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from this discussion if there could be a perceived conflict. Annually, the organization reviews and discusses the conflict of interest policy and requests that each board member list and acknowledge any known conflicts.
