“Executive committee shall possess powers to advise and consent on the appointment of senior staff and the determination of the administrative structure of the corporation. The officers of the corporation shall consist of a chair or two co-chairs, a vice-chair, a secretary, and a treasurer, each of whom must be a director. The chair, with the advice and consent of the executive committee, may appoint such senior staff as officers of the corporation as may be required for conducting the day to day affairs of the corporation in a manner consistent with the corporation's budget and the policies and practices authorized by the board. Senior staff may include, among others, a president & chief executive officer, chief financial officer, and vice- president of development. Any such appointment is to be reported to the board not later than the next meeting of the board. The chair may appoint directors to the executive committee; directors appointed by the chair may be removed by the chair. Any such appointment is to be reported to the board not later than the next meeting of the board.”
